If Licensee requires the in-licensing of additional technology from a third party to make and sell Licensed Products or Licensed Processes in any year of this Agreement, UFRF agrees to a reduction in royalty payments (as specified in Subsection 4.2.1) by the amount of royalties actually paid by Licensee to third parties in that year under the following conditions:
