Notwithstanding any other provision of this Agreement, nothing herein shall be construed as relinquishing or foreclosing any rights, including but not limited to firm transmission rights, capacity rights, transmission congestion rights, or transmission credits, that the Interconnection Customer shall be entitled to, now or in the future, under any other agreement or tariff as a result of, or otherwise associated with, the transmission capacity, if any, created by the Network Upgrades, including the right to obtain cash reimbursements or transmission credits for transmission service that is not associated with the Small Generating Facility.

Rights Under Other Agreements. Neither the Holders nor the Indenture Trustee shall have any rights under the Guaranty, any Issuer Subsidiary Guaranty or the Security Trust Agreement to institute proceedings on their own behalf; rather all rights under those agreements and all rights with respect to the Collateral must be enforced by the Security Trustee only. The Holders, by acceptance of a Note under this Indenture, authorize the Indenture Trustee to appoint the Security Trustee as such under the Security Trust Agreement to act on behalf of the Indenture Trustee and the Holders with respect to enforcing the Guaranty or any Issuer Subsidiary Guaranty and with respect to the Collateral. In the event of a conflict between the Security Trust Agreement and this Indenture, the provisions of the Security Trust Agreement shall govern.
