Nothing This Agreement shall be binding upon and inure solely to the benefit of each Party and its successors and permitted assigns and, except as set forth in Section 3, nothing in this Agreement, express or implied, is intended to or shall confer upon any party other than the parties hereto or their respective permitted successors and assigns Person any rights, remedies, obligations, benefits or liabilities remedies of any nature whatsoever under or by reason of this Agreement, except as expressly provided in this Agreement.

Rights of Third Parties. Nothing expressed or implied in this Agreement, express or implied, Agreement is intended or shall be construed to confer upon or give any party Person, other than the parties hereto hereto, any right or their respective permitted successors and assigns any rights, remedies, obligations, or liabilities remedies under or by reason of this Agreement, except as expressly ; provided in this Agreementthat (a) the D&O Indemnified Parties may enforce Section 10.6; and (b) the Non-Recourse Parties may enforce Section 13.18.

Rights of Third Parties. Nothing in this AgreementAgreement is intended, express or impliedshall be construed, is intended to confer upon or give any party person or entity other than the parties hereto to this Agreement any rights or their respective permitted successors and assigns any rights, remedies, obligations, or liabilities remedies under or by reason of this Agreement, Agreement except as expressly provided set forth in this Agreement.

Nothing in this Agreement, whether express or implied, is intended or should be construed to confer upon or grant to any party other than person, except the parties hereto to this Agreement and their authorized assignees and successors in interest (by operation of law or their respective permitted successors and assigns otherwise), any rightsclaim, remediesright, obligationsremedy, or liabilities under privilege under, or by reason because of this AgreementAgreement or any provision of it. This Agreement inures to the benefit of, except as expressly provided and is binding on, the assignees and successors in this Agreementinterest of the parties to it.
