Common use of Rights and Obligations on Termination Clause in Contracts

Rights and Obligations on Termination. If this Agreement is terminated and abandoned as provided in this Section XI, each party will, at the request of the other, return all documents, work papers, and other material of the requesting party, including all copies thereof, relating to the transactions contemplated by this Agreement, whether so obtained before or after the execution of this Agreement, to the party furnishing the same, and all information received by any party to this Agreement with respect to the business of any other party shall be governed by the confidentiality obligations of Section VIII and shall not at any time be used for the advantage of, or disclosed to third parties by, such party to the detriment of the party furnishing such information except as may be required by law; provided, however, that this shall not apply to any document, work paper, material, or any other information which is a matter previously published in any publication for public distribution or previously filed as public information with any governmental authority or is otherwise in the public domain.
