Rights and Obligations of Licensee. 2.1 The holder of the licence, Client agrees that the certified products manufactured and supplied by him/her as specified in the licence to this agreement complies with the requirements stated by the CB in the identified product standard, Certification Scheme and certification requirements conditions.

Licensee shall provide MPP with prompt notice of any claims covered by MPP’s obligation to indemnify, and will provide reasonable cooperation to MPP in MPP's investigation and defense of such claims. Licensee shall have the right to participate in such defense with counsel of its choice and at Licensee’s own expense. Licensee shall have the right to approve the settlement of any claim hereunder that imposes any liability or obligation on Licensee, or affects the Patents, other than the payment of money damages paid by MPP or another Sublicensee of MPP.

(a) LICENSEE shall have the right to make modifications, improvements or enhancements, including ASIC developments (a "CHANGE") to the DEVICE either by submitting to LICENSOR a request for a CHANGE or by implementing the CHANGE itself. The implementation of any such CHANGE shall not be deemed to be the development of an ADDITIONAL DEVICE or any IMPROVEMENT. Any CHANGE implemented by LICENSEE at its option may be provided to LICENSOR solely for the purposes of enabling LICENSOR to perform support services as provided herein. If LICENSEE independently implements a CHANGE, any warranties made by LICENSOR in favor of LICENSEE will not apply to such CHANGE.
