Right to Match. (a) If the Company receives an Acquisition Proposal that constitutes a Superior Proposal after the date hereof and prior to the approval of the Arrangement Resolution by the Company Shareholders, the Board may: (A) authorize the Company to enter into a definitive agreement with respect to such Acquisition Proposal and (B) withdraw, modify, qualify or change in a manner adverse to the Purchaser its approval or recommendation of the Arrangement and recommend or approve an Acquisition Proposal that is a Superior Proposal, if and only if:
