Right to Access and Use. Subject to the terms of this Agreement, We grant You a limited, revocable, nonexclusive, nontransferable, non-assignable, non-sublicensable worldwide right to access and use the Cloud Services described in the Grant Letter during the applicable Subscription Period solely for Your internal business purposes in accordance with the Agreement and the entitlements set out in the Grant Letter(s). Use of the Cloud Services depend on the types of subscriptions purchased (e.g., Users) and are subject to the Product Entitlement definitions on the applicable date of Your Grant Letter. You must have an active subscription to the Cloud Services in order to continue to receive access to the Cloud Services. User-based subscriptions may not be shared or used by more than one individual User but may be reassigned to new Users who are replacing former Users that have been terminated or otherwise no longer use the Cloud Services.
Right to Access and Use. Subject to the terms and conditions of this Agreement and in consideration of the fees specified in any Order or SOW, Smartsheet hereby grants Customer a worldwide, non-exclusive, non-transferable right to access and use Smartsheet’s online Services during the applicable Term for Customer’s own business purposes. Users may exercise such limited right on behalf of Customer.
Right to Access and Use. Subject to the terms of this Agreement, McAfee grants Company a non-exclusive, non-transferable, worldwide right to access and use the Cloud Services described in the Grant Letter during the applicable Subscription Period solely for Company’s internal business purposes. Use of the Cloud Services depends on the types of subscriptions purchased (e.g. Users) and is subject to the Product Entitlement definitions on the applicable date of Company’s Grant Letter. Company must have an active subscription to the Cloud Services, or have an active Support agreement for the Cloud Services, as applicable, to continue to receive access to the Cloud Services. User-based subscriptions may not be shared or used by more than one individual User but may be reassigned to new Users who are replacing former Users that have been terminated or otherwise no longer use the Cloud Services.
Right to Access and Use. Subject to Customer’s compliance with the Agreement, Entrust grants Customer, during the Term, a personal, worldwide, non-exclusive, non-transferable, non-sub-licensable right to access and use the Hosted Service: (i) via the Hosted Service portal or otherwise (ii) in accordance with the AUP; (iii) in accordance with the Documentation;
Right to Access and Use. Contractor grants County a non-transferable and nonexclusive right to use and access Contractor’s system, including all functionalities and services provided, furnished or accessible under this Contract. This includes the right of County to, and access to, all system maintenance and warranty updates, upgrades, new releases, patches, corrections, modifications, enhancements, fixes and support without Contractor requiring a separate maintenance or support agreement. County may use the system with any computer, computer system, server or desktop workstation owned or utilized by County or other authorized users. Contractor must not reduce or eliminate functionality in the system during the term of this Contract. Where Contractor reduces or eliminates functionality in the system, at County’s sole election and in County’s sole determination, County: (a) has, in addition to any other rights and remedies under this Contract or at law, the right to immediately terminate this Contract for cause pursuant to Paragraph 19, Termination, and be entitled to a return of any prepaid fees; or (b) may determine the value of the reduced or eliminated functionality and Contractor must immediately adjust the fees accordingly on a prospective basis. Where Contractor has introduced like functionality in other services, County has a right to use and access the new services, at no additional charge, with the same rights, obligations and limitations as for the services.

Subject to Customer’s compliance with the terms of this Agreement, Sophos grants Customer a non-exclusive, non-transferable, worldwide right to access and use the Service solely for Customer’s internal information security purposes. Customer may permit its Affiliates and Users to use the Service in accordance with this Agreement, provided that Customer remains fully responsible and liable for their use of the Service and compliance with the terms and conditions of this Agreement.

County is authorized to access County data and any Contractor-provided data as specified herein and to transmit revisions, updates, deletions, enhancements, or modifications to County data. This includes the right of County to, and access to, all system maintenance and warranty updates, upgrades, new releases, patches, corrections, modifications, enhancements, fixes and support as provided herein.

Where Contractor reduces or eliminates functionality in the system, at County’s sole election and in County’s sole determination, County: (a) has, in addition to any other rights and remedies under this Contract or at law, the right to immediately terminate this Contract for cause pursuant to Paragraph K, Termination, and be entitled to a return of any prepaid fees; or (b) may determine the value of the reduced or eliminated functionality and Contractor must immediately adjust the fees accordingly on a prospective basis.
Right to Access and Use. Subject to Your compliance with Section 3, Webroot hereby grants You a royalty-free, non-exclusive, non-transferable, and non-sublicensable license to download, install, and use the Plugin solely for Your internal use in: (a) importing one or more Webroot Services into the Platform; or (b) in developing an Application for the purpose of the immediately preceding subsection (a).
Right to Access and Use. Citi grants the Company, subject to the terms and conditions of this Agreement, a non-exclusive, non-transferable, limited-scope, right to view the reports generated by Applications, during the term of this Agreement. The Company acknowledges and agrees that the Licensed System provided by Citi is subject to the terms and conditions set forth in this Agreement.
