(“Patheon”) have entered into a Manufacturing Services Agreement dated March , 2004 (the “MSA”) whereby Patheon agreed, among other things, to provide certain manufacturing services (the “Services”) with respect to DynaCirc CR (the “Product”). In order for Patheon to perform the Services, certain capital equipment will be provided by RELIANT and installed at Patheon’s Cincinnati Operations facility (the “Facility”). As well, certain modifications will be made to the Facility to accommodate such equipment. The purpose of this Letter Agreement is to set out the partiesmutual agreement with respect to the equipment and capital expenditures required under the MSA.
