Revenue Adjustments. (a) If the Deferred Revenue Amount, as determined on the earliest practicable date (the "Revenue Evaluation Date"), is less than $206.1 million, but greater than or equal to $198.1 million then (A) the Exercise Price shall be reduced to $7.00 per share and (B) the Warrant Share Number shall be increased to equal the product of (i) the aggregate number of Warrant Shares for which this Warrant is exercisable immediately prior to the Revenue Evaluation Date multiplied by (ii) a fraction, the numerator of which shall be the Exercise Price in effect immediately prior to such Revenue Evaluation Date and the denominator of which shall be $7.00; provided, however, that notwithstanding the -------- ------- foregoing, if the Exercise Price at the Revenue Evaluation Date is equal to or less than $7.00 per share, then no adjustment shall be made pursuant to this Section 5.3(a).
