RETENTION OF MANAGER BY FUND. The Fund hereby employs the Manager to act as the investment adviser for and to manage the investment and reinvestment of the assets of The Nebraska Municipal Fund portfolio of the Fund in accordance with such portfolio's investment objective and policies and restrictions, and to administer its affairs to the extent requested by, and subject to the review and supervision of, the trustees of the Fund (the "trustees") for the period and upon the terms herein set forth. The investment of funds shall be subject to all applicable restrictions of the Agreement and Declaration of Trust and By-Laws of the Fund as may from time to time be in force. The term "Fund" as used herein shall refer to either XXXXXX MANAGED PORTFOLIOS or any of the portfolios of the Fund as the context may require.
