Common use of Retained Assets Clause in Contracts

Retained Assets. Anything in Section 1.1 to the contrary notwithstanding, the following assets (collectively, “Retained Assets”) shall be retained by Seller, and Buyer shall in no way be deemed to have purchased or acquired (or to be obligated to purchase or acquire) any interest whatsoever in any of the following:

All of the following items shall exclusively be the “Retained Assets”:
