Common use of Retained Assets Clause in Contracts

Retained Assets. Notwithstanding the provisions of Section 1.1 of this Agreement, Seller shall not sell, transfer, assign, convey or deliver to Buyer, and Buyer shall not purchase or accept from Seller, the following assets of Seller, whether relating exclusively or nonexclusively to the Business (collectively the “Retained Assets”):

Retained Assets. Notwithstanding anything contained herein to the provisions of Section 1.1 of this Agreementcontrary, the Seller shall not sell, transfer, assign, convey or deliver deliver, or cause to be sold, transferred, conveyed or delivered, to the Buyer, and the Buyer shall not purchase from the Seller any assets, properties, interests and rights of the Seller not used primarily in the operation or accept from Sellerconduct of the Business, including, without limitation, the following assets of Seller, whether relating exclusively or nonexclusively to (the Business (collectively the “"Retained Assets”"):

Notwithstanding anything to the provisions of Section 1.1 of contrary contained in this Agreement or in any other agreement or instrument, and other than as provided in the Headquarters Assignment and Assumption Agreement and the Designation Rights Agreement, Seller shall not sell, assign, transfer, assign, convey or deliver to Buyer, and Buyer shall not neither purchase nor acquire from Seller or accept from Sellerits Affiliates, any of the following assets of Seller(collectively, whether relating exclusively or nonexclusively to the Business (collectively the “"Retained Assets”"):

Notwithstanding the provisions of Section 1.1 of this Agreement, Seller shall retain and not sell, transfer, assign, convey or sell and deliver to BuyerPurchaser pursuant to Section 2.1, and Buyer Purchaser shall not purchase or accept from Seller, the following assets of Seller, whether relating exclusively or nonexclusively to Seller even though the Business (collectively following assets may be used in the “Retained Assets”):operation of the Acquired Business:

Without limiting the generality of the foregoing, the Buyer shall not acquire any of the following assets of Seller(collectively, whether relating exclusively or nonexclusively to the Business (collectively the “Retained Assets”):

Notwithstanding the provisions of Section 1.1 of this Agreement, Seller shall not sell, transfer, assign, convey or deliver to BuyerPurchaser, and Buyer Purchaser shall not purchase or accept from SellerSeller the assets, properties, interests and rights of Seller set forth on Exhibit B hereto (the following assets of Seller, whether relating exclusively or nonexclusively to the Business (collectively the “"Retained Assets”):"), except as provided in Section 5.16.
