Restructuring Agreement Not a Solicitation. Each Party hereby acknowledges that this Restructuring Agreement is not, and shall not be deemed to be, a solicitation to accept or reject any plan of reorganization in contravention of section 1126(b) of the Bankruptcy Code. Each Party further acknowledges that no securities of any Debtor are being offered or sold hereby and that this Restructuring Agreement does not constitute an offer to sell or a solicitation of an offer to buy any securities of any Debtor.

Stockholder shall, and shall cause its Representatives to, immediately cease and cause to be terminated any existing solicitation of, or discussions or negotiations with, any Person relating to any Acquisition Proposal or Acquisition Inquiry.
