Restrictive Covenants in Employment and Other Agreements. To the extent permitted under applicable law, following the Distribution, the Columbia Parties shall be considered to be successors to the NiSource Parties for purposes of all agreements containing restrictive covenants (including confidentiality and non-competition provisions) between any NiSource Party and any Business Employee executed prior to the Distribution Date such that each NiSource Party and each Columbia Party shall all enjoy the rights and benefits under such agreements, with respect to their respective business operations; provided, however, that (a) in no event shall any NiSource Party be permitted to enforce any restrictive covenants against any Business Employees in their capacity as employees of any Columbia Party and (b) in no event shall any Columbia Party be permitted to enforce the restrictive covenant agreements against any NiSource employees in their capacity as employees of any NiSource Party.
