Restrictions on Proprietary Information. I agree that, during my employment and after, I will hold the Proprietary Information of the Company in strict confidence and will neither use the information nor disclose it to anyone, except to the extent necessary to carry out my responsibilities as an employee of the Company or as specifically authorized in writing by a duly authorized officer of the Company. I understand that "Proprietary Information" means all information pertaining in any manner to the business of the Company or its affiliates, consultants, or business associates, unless (i) the information is or becomes publicly known through lawful means; (ii) the information was part of my general knowledge prior to my employment by the Company; or (iii) the information is disclosed to me without restriction by a third party who rightfully possesses the information and did not learn of it from the Company. This definition includes, but is not limited to, (A) the design and content of web pages, brochures and collateral; (B) processes, techniques, formulas, development tools and methods used to develop products and/or provide services to customers and information about those products and services; (C) computer programs, electronic codes, blueprints, schematics, techniques, development tools, processes, computer printouts, design drawings and manuals, formulas and improvements; (D) customer lists and information about customers, bids, proposals and potential customers; (E) information about costs, profits, markets and sales; (F) plans for business, marketing, future development and new product and service concepts; and (G) employee personnel files and information about employee compensation, employee benefits, and the Company's organization.

Restrictions on Proprietary Information. I promise that, at all times both during and after my employment, I will hold the Proprietary Information of the Company in strict confidence. I promise never to use the Proprietary Information or disclose it to anyone, except to the extent appropriate or necessary to carry out my responsibilities as an employee of the Company, as required by law, or as specifically authorized in writing by an officer of the Company.
Restrictions on Proprietary Information. I acknowledge that (i) because of my responsibilities at the Company, I will help develop and create, and/or will be exposed to, the Company’s business strategies, information on customers, clients and web site design and other valuable confidential, proprietary and trade secret information of the Company (as more fully defined below, “Proprietary Information”), (ii) in such capacity I will become familiar with procedures and methods by which the Company develops and conducts its business, (iii) I will have access to the Company’s clients, channels for developing clients, and other Proprietary Information, (iv) it would be unfair to the Company if I were to appropriate to myself or others the benefits of the Company’s resources expended to develop such business relationships, (v) it would be unfair to the Company if I were to appropriate to myself or others the benefits of the business, personnel and other Proprietary Information which the Company has developed in the conduct of its business, and (vi) it is therefore fair that reasonable restrictions should be placed on certain of my activities during my employment and after my employment with the Company terminates. I agree to hold in strict confidence and in trust for the sole benefit of the Company all Proprietary Information that I may have access to, learn, observe or obtain during the course of my employment with the Company and, except as required in my authorized duties on behalf of the Company, will not disclose any Proprietary Information, directly or indirectly, to anyone outside of the Company, or use, copy, publish, summarize, or remove from Company premises such information (or remove from the premises any other property of the Company) unless I am expressly authorized in writing by the President of the Company. I further agree that I will promptly advise the Company of any unauthorized use, removal, copy or disclosure of the Proprietary Information by anyone, including myself. I understand that if I disclose, copy, remove or misuse any Proprietary Information in violation of this Proprietary Information and Inventions Agreement (this “Agreement”) or threaten or cause damage to the Company, I will be responsible to and will indemnify the Company. Restrictions on Proprietary Information. During and after the term of this Agreement, (a) SDTS shall only use the Proprietary Information furnished to SDTS, directly or indirectly, in writing or otherwise, in SDTS’s use, operation, maintenance and restoration of the Applicable Transmission Systems pursuant to the license granted in Section 2 of this Agreement, and (b) SDTS shall not use or disclose to others, directly or indirectly, the Proprietary Information except as expressly allowed under this Agreement.

The term “Proprietary Information” shall specifically include, but not be limited to: (A) schematics, techniques, development tools, processes, computer printouts, computer programs, software, design drawings and manuals, electronic codes, formulas and improvements, ideas, methods, and know-how; (B) business plans and methods, research and development information, marketing strategies and techniques; (C) information about costs, profits, markets, sales, and bids; (D) lists of existing or potential customers and strategic partners; (E) information concerning the Company’s patents, copyrights, trademarks, tradenames, trade secrets, and know-how; (F) employee personnel files and information about employee compensation and benefits; and (G) all information and documents (electronic or otherwise) relating to, making known, or making knowable (alone or in combination with any other source of information) any of the foregoing.

"Proprietary Information" includes but is not limited to any and all (a) Creations and other Technology (as defined below) and related records; (b) financial information and other information about costs, budgets, profits, margins markets, sales, pricing, payment terms, discounts, rebates and other concessions or incentives, forecasts, customers, subscribers, members, and bids; (c) strategies and other plans for business, marketing, advertisement, future development and new products, services and concepts; (d) employee and personnel information, including, without limitation, files and information about employee compensation and benefits.
