Restrictions on Dealings and Related Matters. 6.2.1 Each of the Controlling Shareholders jointly and severally undertakes to each of the Joint Bookrunners, the Joint Lead Managers, the Co-Manager, the Company, the Sole Sponsor and the Placing Underwriters that during the 24 months immediately following the Listing Date, he/she/it shall not, and shall procure that the relevant registered holder(s) and his/her/its associates and companies controlled by him/her/it and any nominee or trustee holding in trust for he/she/it shall not:
Restrictions on Dealings and Related Matters. (A) (1) XXX undertakes with each of the Company and to the Joint Global Coordinators (on behalf of the Underwriters) that it will not and will procure that none of its Associates or companies controlled by it (within the meaning under the Takeovers Code) or nominees or trustees holding in trust for it will (unless with the prior written consent of the Joint Global Coordinators and unless in compliance with the GEM Listing Rules), within 6 months from the Listing Date, (a) offer, pledge, sell, contract to sell, sell any option or contract to purchase, purchase any option or contract to sell, grant any option, right or warrant to purchase, lend, or otherwise transfer or dispose of, directly or indirectly, any ADSs or Shares or any securities convertible into, or exercisable or exchangeable for ADSs or Shares, (b) file any registration statement with the Securities and Exchange Commission relating to the offering of any ADSs or shares of share capital or any securities convertible into or exercisable or exchangeable for ADSs or shares of share capital or (c) enter into any swap or other arrangement that transfers to another, in whole or in part, any of the economic consequences of ownership of ADSs or Shares, whether any such transaction described in paragraph (a), (b) or (c) above is to be settled by delivery of ADSs or Shares or such other securities, in cash or otherwise. The foregoing sentence shall not apply to transactions relating to the Shares or other securities of the Company acquired by XXX in open market transactions after the completion of the Global Offering. In addition, XXX agrees that, without the prior written consent of the Joint Global Coordinators (on behalf of the Underwriters), it will not, within six months after the Listing Date, make any demand for or exercise any right with respect to, the registration of any Shares or any security convertible into or exercisable or exchangeable for Shares. XXX also agrees and consents to the entry of stop transfer instructions with the Company's transfer agent and registrar against the transfer of TOM's Shares except in compliance with the foregoing restrictions.

  • Restrictions on Competition During the term of this Agreement and for a period of one year after you cease to be an employee of DFC or an affiliate of DFC, you will not, without the prior written consent of DFC, (a) accept employment or render service to any person, firm or corporation, directly or indirectly, in competition with DFC, or any affiliate thereof for any purpose which would be competitive with the business of DFC and its affiliates within the Commonwealth of Puerto Rico or any other geographic area in which DFC or any affiliate of DFC by which you were employed, conducted operations (the "Restricted Area") or any business as to which studies or preparations relating to the entry into which were made by DFC or any affiliate of DFC by which you were employed within one year prior thereto (collectively, the "Restricted Businesses") or (b) directly or indirectly, enter into or in any manner take part in or lend your name, counsel or assistance to any venture, enterprise, business or endeavor, whether as proprietor, principal, investor, partner, director, officer, employee, consultant, adviser, agent, independent contractor or in any other capacity whatsoever for any purpose which would be competitive with the Restricted Businesses in the Restricted Area. An investment not exceeding 5% of the outstanding stock in any corporation regularly traded on any national securities exchange or in the over-the-counter market shall not be deemed to violate this provision, provided that you shall not render any services for such corporation.

The Holder acknowledges and understands that the Company may not be satisfying the current public information requirement of Rule 144 at the time the Holder wishes to sell the Securities and that, in such event, the Holder may be precluded from selling the Securities under Rule 144 even if the other applicable requirements of Rule 144 have been satisfied. The Holder acknowledges that, in the event the applicable requirements of Rule 144 are not met, registration under the Securities Act or an exemption from registration will be required for any disposition of the Securities. The Holder understands that, although Rule 144 is not exclusive, the Securities and Exchange Commission has expressed its opinion that persons proposing to sell restricted securities received in a private offering other than in a registered offering or pursuant to Rule 144 will have a substantial burden of proof in establishing that an exemption from registration is available for such offers or sales and that such persons and the brokers who participate in the transactions do so at their own risk.
