Restriction on Assignments. Except as provided in this Section 17.1, no Party may transfer, sell, pledge, encumber or assign (collectively, “Assign”) this Agreement nor any of its rights or obligations under this Agreement without the prior written consent of the other Parties, each in its own discretion. Notwithstanding the foregoing, Company may Assign the Agreement to an affiliate of Company, provided that such assignee accepts Company’s obligations under this Agreement in writing. Upon acceptance of Company’s obligations by any such assignee, Company shall be released from all obligations or liabilities under this Agreement.
