Restriction on Assignments. Except as expressly provided in this Section 20, neither Party may assign this Agreement or any of its rights or obligations hereunder without the prior written consent of the other Party.
Restriction on Assignments. Except as provided in this Section 17.1, no Party may transfer, sell, pledge, encumber or assign (collectively, “Assign”) this Agreement nor any of its rights or obligations under this Agreement without the prior written consent of the other Parties, each in its own discretion. Notwithstanding the foregoing, Company may Assign the Agreement to an affiliate of Company, provided that such assignee accepts Company’s obligations under this Agreement in writing. Upon acceptance of Company’s obligations by any such assignee, Company shall be released from all obligations or liabilities under this Agreement.
Restriction on Assignments. Except as expressly provided in this Section 11, neither Party shall assign this Agreement or any of its rights or obligations under this Agreement without the prior written consent of the other Party.
Restriction on Assignments. Except as expressly provided in this Section 20, (a) neither Party may assign this Agreement or any of its rights or obligations hereunder without the prior written consent of the other Party, and (b) Seller may not cause or allow any of the membership interests in Seller to be transferred, sold, pledged or encumbered between the Execution Date and the ninetieth (90th) day following such Execution Date without the prior written consent of PacifiCorp.
Restriction on Assignments. Neither Party may assign this Agreement or any of its rights or obligations hereunder without the prior written consent of the other Party, which consent shall not be unreasonably withheld. Any purported assignment in violation hereof shall be void ab initio. This Agreement inures to the benefit of and is binding upon the Parties and their respective successors and permitted assigns.
Restriction on Assignments. Without the prior written consent of Titan, the Licensee shall not directly or indirectly assign, transfer, sublicense, or encumber any of its rights under this Agreement. This Agreement shall be binding upon and inure to the benefit of the successors and assigns of Titan.
Restriction on Assignments. Without the prior written consent of both Um and PMI, the Licensee shall not directly or indirectly assign, transfer, or sublicense any of its rights under this Agreement. The foregoing provision shall apply to transfers of ownership interests in the Licensee (including the stock of the Licensee) which would result in a change in control of the Licensee. This Agreement shall be binding upon and inure to the benefit of the successors and assigns of UM.
Restriction on Assignments. UPN shall have the right to assign its rights and obligations hereunder, provided that any successor in interest shall assume all of UPN's obligations hereunder.
Restriction on Assignments. CSC agrees to not assign, pledge, encumber or otherwise transfer its rights or delegate its duties under this Agreement without the written consent of CCSL, which consent will not be unreasonably withheld; provided, that CSC may delegate its duties to contractors or temporary employees to the extent permitted under the express terms of this Agreement.
Restriction on Assignments. Performer shall have no right to assign its rights and obligations hereunder.
