Restricted Payment to Certain Portfolio Companies. The Borrowers have requested the Lender’s consent to a Restricted Payment in the amount of$570,000,000 from the proceeds of the sale to Group 1 to be distributed to GPB AP and GPB H2 (“Specified 12/2021 Distribution”). The Lender has agreed to permit the Specified 12/2021 Distribution, provided that no Default or Event of Default has occurred or would occur upon giving effect to such distribution and that evidence satisfactory to the Lender of compliance with the Financial Covenants upon ​ ​ giving effect to such distribution shall have been provided to the Administrative Agent and the Lender.
