Restricted Disclosure. 4.1 Except as expressly provided under these General Terms, each party shall maintain in confidence the Confidential Information disclosed by the other party and apply security measures no less stringent than the measures that such party applies to its own like information, but not less than a reasonable degree of care, to prevent unauthorised disclosure and use of the Confidential Information. The period of confidentiality shall be indefinite with respect to each party’s Confidential Information.
Restricted Disclosure. 7.1 You acknowledge that (i) the Deliverables and Licence Keys; and (ii) any benchmarking data and related information mentioned in Clause 3.5, contain Confidential Information and You agree that You shall not use any such information other than in normal use of the Deliverables under the licences granted in this Licence
Restricted Disclosure. Each of Licensor and Licensee acknowledge the confidential and proprietary nature of the other party's Confidential Information and agree that as the Receiving Party, it shall use the same level of care it accords its own confidential information (but in any event, no less than a reasonable standard of care) not to reveal or disclose any Confidential Information for any purpose (except as permitted by the following sentence) to any third party not a Receiving Party, nor use any Confidential Information for any purpose other than as contemplated hereby, in each case, without the prior written consent of the Disclosing Party. In the event that a Receiving Party wishes to disclose Confidential Information to a third party (other than another Receiving Party), it may do so only with the express written consent of the Disclosing Party or if the third party is a reputable party and signs an agreement with the Receiving Party that is appropriate under the circumstances and is reasonably calculated to ensure the confidentiality of the applicable Confidential Information. Upon request, the Disclosing Party shall have the right to review such agreements to ensure that the foregoing obligation is fulfulled.
Restricted Disclosure. The parties will restrict dissemination of Confidential Information received from the other party to only those employees with a need to know such information, except that:
Restricted Disclosure. Except as expressly permitted by the terms of this Contract, County shall not use for its own benefit (or for the benefit of any third party), or disclose, publish, release, transfer or otherwise make available to any third party, any of Contractor’s Confidential Information without Contractor’s prior written consent.
Restricted Disclosure. Unless it has received the prior written consent of the Informant, except as provided in this Section 12 or in the Side Agreement, the Recipient will disclose Confidential Information of the Informant only to those directors, officers, employees, agents, subcontractors and professional advisors of the Recipient with a necessary and direct need to know the Confidential Information for the purposes of this Agreement, and covenants and warrants that all Persons to whom Confidential Information is disclosed in accordance with this will maintain the secrecy of such Confidential Information.
Restricted Disclosure. HEPI will not disclose to HEPIPHARM the identity of HEPI Compounds or any Derivatives except when and to the extent such disclosure is necessary to effect the Collaboration, any provision of the agreement relating thereto, or to comply with legal requirements. HEPI shall maintain in the files of its outside counsel, a list including structural information of all HEPI Compounds in order to confirm the identity of such during the term of the agreement and for a period ending five (5) years thereafter.
Restricted Disclosure. BNP will restrict dissemination of BNP Retained Information to only those employees of BNP with a need to know such information for the purposes of fulfilling BNP's obligations or exercising its rights pursuant to this Agreement. No BNP Retained Information shall be disclosed in any manner to any Third Party, including prospective suppliers, distributors, marketers or other Persons, except that such information may be provided to (i) governmental regulatory authorities in connection with any applications for an IND or Registration for paclitaxel injection and any applications for import or export license with respect to the Product or paclitaxel injection in the BNP Territory; (ii) clinicians or others in connection with the filing of such applications; (iii) a Third Party finisher of Product as may be necessary for such Third Party to finish the Product; (iv) pharmaceutical companies with which BNP has entered into an arrangement to assist in the marketing and selling or distribution of paclitaxel injection; or (v) Third Parties if required pursuant to any proceeding before a court of governmental authority, provided that BNP gives NaPro notice of such required disclosure so that NaPro may seek a protective order or other appropriate remedy. BNP shall under no circumstances disclose any BNP Retained Information identified in Section A of Exhibit C-1 to any Third Party which, itself or through an Affiliate, manufactures bulk Paclitaxel.
Restricted Disclosure the receiving Party will not disclose or give access to such Confidential Information to any third parties, except (A) its Affiliates and its and such Affiliates’ respective directors, officers, employees, consultants, advisors and other representatives who have a reasonable need to know such Confidential Information in connection with the permitted use by such Party of such Confidential Information as set out in Section 8.1(a)(i), or (B) with the disclosing Party’s express prior written consent; and
Restricted Disclosure. Seller agrees to disclose the Confidential Information only to its personnel whose services are required in furtherance of the objectives of the business relationship between the parties, and to require each of its personnel to comply with the terms of this Agreement, prior to the disclosure to such personnel.
