Restated Articles. The Company will have filed with the Secretary of State of Minnesota an Amended and Restated Articles of Incorporation, in form and substance reasonably satisfactory to the Purchaser (the “Restated Articles”), and such Restated Articles shall have been accepted by such Secretary of State. This Agreement and the Notes will have been executed and delivered to the Purchaser.
