RESPONSIBILITIES OF INSTITUTION. The Institution shall: provide passwords and other confidential Authentication Information only to Authorised Users and take reasonable steps to prevent Authorised Users from providing such Authentication Information to anyone else; provide to the Publisher lists of valid IP addresses for the purpose of managing access to the Licensed Material and update those lists regularly as agreed by the parties from time to time; use reasonable efforts to ensure that only Authorised Users are permitted access to the Licensed Material; inform the Authorised Users about the conditions of use of the Licensed Material provided for in this Licence and to the extent that such terms apply to them, use reasonable efforts to ensure that all Authorised Users are made aware of and undertake to abide by the terms of this Licence; and configure the computer system through which the Licensed Material used by the Institution and Authorised Users, and put in place procedures, in accordance with reasonably appropriate accepted standards, for the purpose of preventing access to the Licensed Material by any person other than an Authorised User. The Institution shall use reasonable efforts to monitor compliance with the terms of this Licence and shall promptly notify the Publisher, providing full particulars (to the extent that it is not prohibited by law or contractual obligation from doing so), on becoming aware of any of the following: any unauthorised access to or use of the Licensed Material or unauthorised use of Authentication Information; or any act by an Authorised User which gives rise to a breach of this Licence. As soon as the Institution is aware of any breach of the terms of this Licence, the Institution shall: take reasonable steps to investigate such breach for the purpose of ensuring that the relevant activity ceases and preventing any recurrence; and if the Institution considers this appropriate, take steps against the individual concerned in accordance with the Institution’s disciplinary procedure but the Institution shall not have any other liability for any breach relating to the security of the Secure Network or use by Authorised Users of any Licensed Material.
RESPONSIBILITIES OF INSTITUTION. 6.1 The Institution agrees to: 6.1.1 give passwords or other access information only to Authorised Users and use all reasonable efforts to ensure that Authorised Users do not give their passwords or other access information to anyone else; 6.1.2 provide lists of valid IP addresses to the Publisher and update those lists regularly as agreed by the parties from time to time; 6.1.3 use all reasonable efforts to ensure that only Authorised Users are permitted access to the Licensed Material; 6.1.4 use all reasonable efforts to ensure that all Authorised Users are made aware of and undertake to abide by the terms of this Licence; and 6.1.5 use all reasonable efforts to monitor compliance with the terms of this Licence and notify the Publisher immediately and provide full particulars on becoming aware of any of the following: i) any unauthorised access to or use of the Licensed Material or unauthorised use of any of Institution's password(s); or ii) any breach by an Authorised User of the terms of this Licence. As soon as the Institution is aware of any breach of the terms of this Licence, the Institution further agrees promptly to fully investigate and initiate disciplinary procedures in accordance with the Institution's standard practice and use all reasonable efforts to ensure that such activity ceases and to prevent any recurrence. 6.2 The Institution undertakes to the Publisher that the computer system through which the Licensed Material will be used is configured, and procedures are in place, to prohibit access to the Licensed Material by any person other than an Authorised User, that it shall inform the Authorised Users about the conditions of use of the Licensed Material, and that during the term of this Licence, the Institutions will make best efforts to bar non-permitted access and to convey appropriate use information to its Authorised Users.

(3) Determine, in its sole discretion, whether a Student has violated Institution’s rules, regulations, policies, procedures or is otherwise a detriment to Institution’s operations, staff or visitors, in which case FIU shall work with Institution in taking appropriate steps concerning the Student. c) Acknowledge that student education records are protected by the Family Educational Rights and Privacy Act (“FERPA”) and by applicable state law, and that generally, written student consent must be obtained before releasing personally identifiable student education records to anyone other than FIU. FIU agrees to provide guidance to Institution with respect to complying with the provisions of FERPA and similar state law. Institution agrees to treat all Student education records as confidential information and not to disclose such Student education records except to FIU and Institution officials who need the information to fulfill their professional responsibilities pursuant to this Affiliation Agreement, or as otherwise required or permitted by law. d) Provide access to cafeteria facilities, if available, for the Students. RESPONSIBILITIES OF INSTITUTION. UVM Medical Center, as the sponsor for GME training Programs, acknowledges and agrees to responsibilities for: (a) Ensuring that the institution and accredited GME training Programs comply with accrediting agencies’ requirements, such as maintaining Joint Commission and ACGME accreditations; (b) maintaining an organized administrative system to oversee all GME activities; (c) providing appropriate personal protective equipment, adequate on-call accommodations and work space and the availability of meals while residents/fellows are on overnight call; (d) ensuring policies of supervision are consistent with program and medical staff requirements; (e) providing access to and use of a full medical library; (f) providing opportunities for resident/fellow participation in institutional and educational program activities, and committees; (g) providing ancillary patient support systems, including intravenous and phlebotomy services, laboratory and radiology systems and messenger and transporter services to ensure adequate patient care in a timely manner; and (h) participating in quality assurance measures and activities.
RESPONSIBILITIES OF INSTITUTION. Institution shall have the following responsibilities: A. Assign Residents from clinical programs. The selection of Residents to be assigned is exclusively Institution’s responsibility. The number and level of training of the Residents to be assigned to the Trust are set forth in Exhibit I. B. Ensure that all Residents assigned are properly licensed in the State of Florida and provide documentation of licensure to the Trust. C. At the request of the Trust, remove a Resident whose performance is unacceptable to the Trust. D. Provide a salary and benefits to include life insurance, disability insurance and health insurance for each Resident assigned to the Trust. E. Provide Professional Liability coverage for Institution’s Residents and faculty assigned to the Trust in an amount not less than [U.S. $1,000,000] per occurrence in primary coverage, and not less than [U.S. $3,000,000] per occurrence in excess liability insurance, covering any and all damage to property or injury to persons. Institution is to furnish documentation of liability coverage for Residents and faculty assigned to the Trust. F. In concert with the Trust, ensure compliance by all Residents with the Trust’s entrance and exit processes, protocols, orientation process and the Trust bylaws, rules and regulations, policies and procedures. G. Provide in a timely manner any accreditation reports for programs affiliated with the Trust, if requested. H. The Office of Graduate Medical Education of the Institution shall serve as the Institution’s liaison to the Trust and shall provide administrative support and coordination for all hospital-based resident training programs to the Trust working in conjunction with the Program Directors and with the counterpart office of the Trust. I. Notwithstanding any other provision in this Agreement, the INSTITUTION shall comply with the Public Health Trust Employee Health Services Policy and Procedure regarding immunizations and infectious disease monitoring, and shall be responsible for assuring that its Residents/Fellows comply with Public Health Trust Policy and Procedures. The INSTITUTION shall also ensure that all Residents/Fellows placed at the TRUST or its facilities have documented evidence of completion of a Level 1 background verification screening and when applicable, a level 2 (AHCA) background verification screening when advised by the JHS HR department. The INSTITUTION will provide copies to the TRUST upon request.
RESPONSIBILITIES OF INSTITUTION. 3.1 Institution shall have the following responsibilities under this Agreement. 3.1.1 Provide current students and staff the opportunity to transfer or enroll in WGU, provided that the University will retain full authority over admission. 3.1.2 Collaborate on the development of student and staff engagement opportunity plans, timelines, and materials, provided that the University will retain full authority over admission to any program. 3.1.3 Support additional marketing communications such as providing the names and email addresses of all current and recent graduated students for WGU to message their transfer option through the procedure established by Institution. WGU will request the list for each semester on a yearly basis. Work with WGU to facilitate and execute all student and employee engagement opportunities. Institution will facilitate and execute subsequent ongoing enrollment campaigns in collaboration with WGU. [examples below] 3.1.3.1 Invite WGU to attend student facing events that Institution, in its sole discretion, decides to hold. 3.1.3.2 Provide, on their intranet page, a link to the University website with information regarding the collaboration with WGU and the articulated programs. 3.1.4 Provide all employees at all facilities with access to program-friendly education assistance processes as well as a Human Resources/Benefits point of contact for questions. 3.1.5 Appoint an individual to serve as a single point of contact to act as Liaison with WGU representatives. This person will assist in overseeing the successful management of the collaboration and the agreed upon terms and conditions as set forth in this Agreement. 3.1.6 Be committed to the defined and agreed upon success goal of increasing the annual number of CCAC transfer students and staff for the term of this agreement. This support could be in the form of encouragement, information, scholarships, agreements for promotion, and other methods identified in additional amendments to the Agreement. 3.1.7 Agrees to expand its engagement with WGU and develop new goals and objectives annually that will further integrate the collaboration and build a stronger relationship between the Parties. 3.1.8 Participate in quarterly, mid-year, and annual collaboration reviews with WGU team members.
