Notwithstanding the foregoing that the Company has never been a Shell Company since inception, that Company has furthermore not been a Shell Company since October 12, 2010 at which time the Company filed current “Form 10 information” with the Securities and Exchange Commission reflecting its status as an entity that is no longer an issuer described in Rule 144(i)(1). Therefore, the date that the shares issued to the Investor can be sold under Rule 144 without volume restrictions shall be six (6) months after the date of such issuance, provided that the Company remains current in its public reporting under the 1934 Act hereafter.
