Resignation or Termination for Cause. (a) The Executive may resign his/her employment or MTS may terminate the Executive's employment for Cause, effective as of the Date of Termination set forth in the Notice of Termination. If Executive resigns or his/her employment is terminated by MTS for Cause, MTS shall pay to Executive his/her full base salary through the Date of Termination at the rate in effect at the time of Notice of Termination is given and MTS shall have no further obligation to Executive under this Agreement.

If Employee should resign his employment, or if the Chairman or President should terminate Employee’s employment for cause, Employee shall not be entitled to any compensation or remuneration other than such amounts and benefits as Employee is eligible to receive under CMI’s then prevailing policies and benefit plans and as prescribed by law. “Cause” means termination for any of the following reasons:
Resignation or Termination for Cause. If Executive's employment is terminated due to Executive's resignation without Good Reason (as defined below) or a termination by the Company for Cause, Executive will be entitled to receive his Accrued Obligations.

In the event that: (i) Executive's employment is terminated by the Company at any time for "Cause;" (ii) Executive resigns his employment for any reason when no Change of Control has taken place within the prior twelve (12) months; or (iii) Executive resigns his employment without "Good Reason" within twelve (12) months following a Change of Control; then upon the termination of Executive's employment, Executive will be paid his Base Salary and for all unused vacation earned through the date of termination, but nothing else, and all stock vesting and benefits will cease on Executive's date of termination.

If Employee should resign Employee’s employment, or if the President/CEO should terminate Employee’s employment for cause, Employee shall not be entitled to any compensation or remuneration other than such amounts and benefits as Employee is eligible to receive under JDI’s then prevailing policies and benefit plans and as prescribed by law. “Cause” means termination for any of the following reasons:
Resignation or Termination for Cause. If the Employment Period is terminated as a result of Executive's voluntary resignation, or by the Company or Holding for Cause, or for any other reason not set forth in Sections 2.4(c) or 2.4(d) hereof, the Executive shall be entitled to his Base Salary through the date of termination, but shall not be entitled to any further Base Salary, Total Annual Bonus or Benefits for that year or any future year, or to any severance compensation of any kind, nature or amount. Executive agrees that he shall provide at least 90 days' written notice prior to any voluntary resignation.
Resignation or Termination for Cause. If the Participant’s employment with the Company is terminated for “Cause” (as defined in the Participant’s employment offer letter or agreement, as applicable, or in the absence of such provision, as defined herein) or due to the Participant’s voluntary resignation, all RSUs shall immediately be forfeited and canceled effective as of the effective date of the Participant’s Termination of Employment as a result of the Participant’s resignation or termination for Cause. For purposes of this Agreement, “Cause” shall mean the termination of the Participant’s employment because of:
Resignation or Termination for Cause. If Grantee voluntarily resigns from employment with the Company and all of its Subsidiaries for any reason other than Disability (as defined in subsection (b) below), or if the Company or the Subsidiary that is Grantee’s employer terminates Grantee’s employment for Cause (as defined below), any Performance Shares that are not then vested shall be immediately forfeited, and Grantee shall have no rights in such Performance Shares. For purposes hereof, the term “Cause” shall mean the reason for termination of Grantee’s employment is (A) Grantee’s fraud, dishonesty, gross negligence or willful misconduct, with respect to the business affairs of the Company or its Subsidiaries, (B) Grantee’s refusal or repeated failure to follow the established lawful policies of the Company or its Subsidiaries applicable to persons occupying the same or similar positions, or (C) Grantee’s conviction of a felony or other crime involving moral turpitude.
Resignation or Termination for Cause. If Executive resigns from the Company or is terminated for Cause at any time during the Performance Period (or is terminated for Cause, after the Performance Period, but prior to the distribution date), Executive will forfeit this RSU Award.
