Common use of Resignation or Removal of the Agent Clause in Contracts

Resignation or Removal of the Agent. (i) The Agent may resign from the performance of all its functions and duties under this Agreement and the other Transaction Documents at any time by giving not less than 30 days’ prior written notice to the Company and the Secured Parties, and, subject to the appointment of a successor Agent and the acceptance of such appointment by the successor Agent, the Agent may be removed at any time by the Secured Parties. Such resignation or removal shall take effect upon the appointment of a successor Agent pursuant to clauses (ii) and (iii) below.

Resignation or Removal of the Agent. (i) The Agent may resign from the performance of all its functions and duties under this Agreement Agreement, the other Collateral Documents and the other Transaction Documents at any time by giving not less than 30 days’ prior written notice to the Company and the Secured Parties, and, subject to the appointment of a successor Agent and the acceptance of such appointment by the successor Agent, the Agent may be removed at any time by the Secured Parties. Such resignation or removal shall take effect upon the appointment of a successor Agent pursuant to clauses (ii) and (iii) below.

(ia) The Agent may resign from the performance of all its functions and duties hereunder and/or under this Agreement and the other Transaction Credit Documents at any time by giving not less than 30 days’ 15 Business Days' prior written notice to the Company Borrower and the Secured PartiesLenders, and, subject to the appointment of a successor Agent and the acceptance of such appointment by the successor Agent, the Agent may be removed at any time by written notice of removal from the Secured PartiesRequired Lenders to the Agent and the Borrower. Such resignation or removal shall take effect upon the appointment of a successor Agent pursuant to clauses (iib) and (iiic) below or as otherwise provided below.
