Common use of Resignation and Termination Clause in Contracts

Resignation and Termination. You agree: (i) to give Cerner written notice of your intention to resign from employment at least ten (10) business days, not including vacation days, prior to the last day you intend to work at Cerner, unless otherwise agreed upon by you and your manager; (ii) to participate in an exit interview; (iii) to report to Cerner the identity and the nature of your proposed duties of your new employer (if any); and (iv) to promptly execute a Termination Statement in the form of Attachment II. If you are a full-time Associate and Cerner either (i) terminates your employment without Cause and provides less than ten (10) business days notice of such termination, or (ii) accelerates your requested termination date to a date less than ten (10) business days from your notice of voluntary resignation, Cerner will pay you in conjunction with such termination the equivalent of two (2) weeks base salary (exclusive of commissions, advances against commissions, bonus and other non-salary compensation and Associate benefits) less any base salary compensation paid to you for the time you work from the notice of termination or resignation through your actual termination date. In the event your termination occurs during a period associated with a bonus or incentive compensation plan, any final payments to you as a result of your participation in such plan will be determined by the terms of the plan. Pursuant to the terms of Cerner's published policies, as may be amended from time to time, Cerner may pay or reimburse you for certain reasonable costs associated with: (i) any relocation required by Cerner, or (ii) Other Assistance Programs in which Cerner provides assistance. In the event that Cerner pays or reimburses you for any relocation costs or costs associated with Other Assistance Programs, you agree to repay such sums to Cerner in accordance with the terms of the policy in effect at the time of the reimbursement or other payment. You further agree that Cerner may, at its discretion, deduct from your paycheck(s) and any other amounts owed to you by Cerner, any such sums required to be repaid under this provision and that you will repay Cerner any outstanding balance owed within thirty (30) days of your employment termination. Regardless of the duration stated herein, nothing contained in this provision shall create employment for a definite term or otherwise modify the parties "at will" relationship set forth in section 2.8. of this Agreement.

If you are a full-time Associate and Cerner either resign, however, with fewer than sixty (i60) terminates your employment without Cause and provides less than ten business days notice, or if you actually leave Cerner's employ prior to expiration of the sixty (1060) business days notice period and without the permission of such terminationCerner, then you agree that (to the _/s/RDN_____________ Associate's Initials extent permitted by law) no vacation pay, salary or other compensation otherwise due, from the date of your resignation notice until the time of your approved effective termination date, will be owed or paid to you by Cerner. Failure to provide a sixty-business day notice period may affect your future rehire ability with Cerner. You acknowledge that the consideration for the time increased severance benefit beyond Cerner's standard severance benefit is the termination by you work from of the notice Severance Benefit in the Event of termination or resignation through your actual termination dateTermination of Your Employment with Citation Computer Systems, Inc. under Certain Circumstances Following a Change of Control entered into by and between you and Citation Computer Systems, Inc. dated as of July 15, 1999. By signing this agreement, you agree that such agreement is terminated, and of no further force and effect. You agree to execute such further documents as may be reasonably requested by Cerner to effectuate such termination. In the event your termination occurs during a performance period associated with a documented bonus or incentive compensation plan, any final payments to you as a result of your participation in such plan will be determined by the terms documented procedures of the plan. Pursuant to the terms of Cerner's published policies, as may be amended from time to time, Cerner may pay or reimburse you for certain reasonable costs associated with: (i) with any relocation required by Cerner in conjunction with a position with Cerner pursuant to the terms of Cerner's published relocation policy, or (ii) Other Assistance Programs in which Cerner provides assistanceas may be amended from time to time. In the event that Cerner pays or reimburses you for any relocation costs or costs associated with Other Assistance Programscosts, you agree to repay such sums to Cerner in accordance their entirety if (i) you voluntarily resign from employment with the terms Cerner for any reason within two (2) years of the date your relocation is complete or (ii) Cerner terminates your employment due to your dishonesty, illegal conduct, or breach of Cerner policy in effect at the time or this Agreement within two (2) years of the reimbursement or other paymentdate your move is complete. You further agree that Cerner may, at its discretion, deduct from your paycheck(s), including your final paycheck, any such sums required to be repaid under this provision and that you will repay Cerner any outstanding balance owed within 30 days of your employment termination. Regardless of the duration stated herein, nothing contained in this provision shall create employment for a definite term or otherwise modify the parties "at will" relationship set forth in section 2.8. paragraph 2.B. of this Agreement. In the event Cerner terminates your employment, Cerner reserves the right to set the effective date of such termination. This provision also applies if you give proper notice as outlined above and Cerner elects to accelerate your effective termination date to a date less any base salary compensation paid to you for the time you work than two weeks from the notice date of termination or resignation through your actual termination datenotice. If you are resign, however, with fewer than twenty (20) business days notice, or if you actually leave Cerner's employ prior to expiration of the twenty business days notice period and without the permission of Cerner, then you agree that (to the extent _/s/JRC_____________ Associate's Initials permitted by law) no salary or other compensation otherwise due, from the date of your resignation notice until the time of your approved effective termination date, will be owed or paid to you by Cerner. Failure to provide a full-time Associate and four week notice period may affect your future rehire ability with Cerner. If Cerner either (i) terminates your employment without Cause (and provides less than ten (10) business days notice of such terminationunless the termination was due to your dishonesty, illegal conduct, or (ii) accelerates your requested termination date to a date less than ten (10) business days from your notice breach of voluntary resignationCerner's policy or this Agreement), Cerner will pay you in conjunction with such termination the equivalent of two (2) weeks base salary (exclusive of commissions, advances against commissions, bonus and other non-salary compensation and Associate benefits) less any base salary compensation paid to you $10,000 per month for the time remaining period of your employment contract which expires twenty months after the Cerner acquisition of Citation is completed. Further more, Cerner agrees that you work from the notice will be elgibile to receive COBRA benefits for a perio of eighteen months after termination or resignation through until October 31, 2003 at your actual cost and election. If Cerner terminates your employment (and unless the termination was due to your dishonesty, illegal conduct, or breach of Cerner's policy or this Agreement), Cerner will pay you a minimum of six(6) accelerates months severance pay (based on your requested annualized base salary amount at the time of your involuntary termination), less appropriate payroll deductions, payable on Cerner's regular paydays. In addition, at Cerner's sole discretion and option, Cerner may increase the severance period beyond the minimum six (6) month period at the rate of two (2) additional months for each one (1)month that you are employed by Cerner, up to a maximum duration (the original six (6) month period plus any extension) of two (2) years. You understand and agree that the election by Cerner to extend the period of your severance compensation will also extend the period of time of your non-competition obligations under Paragraph 7. Cerner agrees to notify you of its election to extend the time of your severance and your non-competition obligations within thirty (30) days of your last day of employment at Cerner. You also understand and agree that, at Cerner's sole discretion and option, Cerner may elect to make any severance payment, or any part thereof, in a lump sum payment as opposed to making such payment on Cerner's regular paydays. Any such lump sum payment shall have no effect upon your obligations to comply with your non-competition obligations under Paragraph 7. Notwithstanding the foregoing, it is not the intent of either of us that you continue to receive any severance payments (if applicable) after you have accepted other employment after leaving Cerner. You agree to immediately notify Cerner if you accept other employment during the severance and non competition period provided for by this Paragraph 2 and Paragraph 7. Cerner's obligations to make any further severance payments hereunder shall immediately cease upon your commencement of employment with a new employer, but your obligations of non-competition under Paragraph 7 shall continue pursuant to such terms. If you voluntarily resign and give proper notice as outlined above and Cerner elects to accelerate your effective termination date to a date less than ten (10) business days from your notice of voluntary resignation, Cerner will pay you in conjunction with such termination the equivalent of two (2) weeks from the date of your notice, Cerner will continue to pay your base salary through the remainder of such two (exclusive of commissions, advances against commissions, bonus and other non-salary compensation and Associate benefits2) less any base salary compensation paid to you for the time you work from the notice of termination or resignation through your actual termination dateweek period. In the event your voluntary or involuntary termination occurs during a performance period associated with a documented bonus or incentive compensation plan, any final payments to you as a result of your participation in such plan will be determined by the terms documented procedures of the plan. Pursuant If Cerner has reimbursed you for certain costs associated with any relocation which may be required as a prerequisite to the terms of your being hired into a position with Cerner, all such reimbursements shall be made according to Cerner's published policiesrelocation expense reimbursement policy. Such reimbursements will be made in consideration for your agreement to serve in the position for which you were relocated for at least two years. Therefore, as may be amended from time to time, Cerner may pay or reimburse you for certain reasonable costs associated with: (i) any relocation required by Cerner, or (ii) Other Assistance Programs in which Cerner provides assistance. In the event that Cerner pays or reimburses has reimbursed you for any relocation costs expenses or costs associated with Other Assistance Programsotherwise paid to you any sums of money pursuant to Cerner's relocation policy, you agree to that you shall repay such sums to Cerner in accordance on a prorated basis if (i) you voluntarily resign from employment with the terms Cerner within two (2) years of the date your move is complete or (ii) Cerner terminates your employment due to your dishonesty, illegal conduct, or breach of Cerner policy in effect at the time or this Agreement within two (2) years of the reimbursement date your move is complete. In the event Cerner terminates your employment, Cerner reserves the right to set the effective date of such termination. Upon your resignation or other payment. If Cerner terminates your employment prior to the date you move your family to the Kansas City area (and unless the termination was due to your dishonesty, illegal conduct, or breach of Cerner's policy or this Agreement), Cerner will pay you a minimum of three (3) months severance pay (based on your annualized base salary amount at the time of your involuntary termination), less appropriate payroll deductions, payable on Cerner's regular paydays. If Cerner terminates your employment after the date you move your family to the Kansas City area (and unless the termination was due to your dishonesty, illegal conduct, or breach of Cerner's policy or this Agreement), Cerner will pay you a minimum of six (6) months severance pay (based on your annualized base salary amount at the time of your involuntary termination), less appropriate payroll deductions, payable on Cerner's regular paydays. In addition, the severance period will increase beyond the minimum six (6) month period at the rate of one (1) additional month for each six (6) months that you are employed by Cerner, up to a maximum duration (the original six (6) month period plus any extension) of one (1) year. You understand and agree that the period of your severance compensation will also extend the period of time of your non-competition obligations under Paragraph 7. You also understand and agree that, at Cerner's sole discretion and option, Cerner may elect to make any severance payment, or any part thereof, in a lump sum payment as opposed to making such payment on Cerner's regular paydays. Any such lump sum payment shall have no effect upon your obligations to comply with your non-competition obligations under Paragraph 7. Notwithstanding the foregoing, it is not the intent of either of us that you continue to receive any severance payments (if applicable) after you have accepted other employment after leaving Cerner. You agree to immediately notify Cerner if you accept other employment during the severance and non-competition period provided for by this Paragraph 2 and Paragraph 7. Cerner's obligations to make any further severance payments hereunder shall immediately cease upon your commencement of employment with a new employer, but your obligations of non-competition under Paragraph 7 shall continue pursuant to such terms. Such reimbursements will be made in consideration for your agreement to serve in the position for which you were relocated for at least two (2) years. Therefore, as may be amended from time to time, Cerner may pay or reimburse you for certain reasonable costs associated with: (i) any relocation required by Cerner, or (ii) Other Assistance Programs in which Cerner provides assistance. In the event that Cerner pays or reimburses has reimbursed you for any relocation costs expenses or costs associated with Other Assistance Programsotherwise paid to you any sums of money pursuant to Cerner's relocation policy, you agree to that you shall repay such sums to Cerner in accordance on a prorated basis if (i) you voluntarily resign from employment with the terms Cerner within two (2) years of the date your move is complete or (ii) Cerner terminates your employment due to your dishonesty, illegal conduct, or breach of Cerner policy in effect at the time or this Agreement within two (2) years of the reimbursement date your move is complete. In the event Cerner terminates your employment, Cerner reserves the right to set the effective date of such termination. Upon your resignation or other payment. If you resign, however, with fewer than ten (10) business days notice, or if you actually leave Cerner's employ prior to expiration of the ten business days notice period and without the permission of Cerner, then you agree that (to the extent permitted by law) no vacation pay, salary or other compensation otherwise due, from the date of your new employer (if any); and (iv) resignation notice until the time of your approved effective termination date, will be owed or paid to promptly execute you by Cerner. Failure to provide a Termination Statement in the form of Attachment IItwo week notice period may affect your future rehire ability with Cerner. If you are a full-time Associate associate and Cerner either (i) terminates your employment without Cause within the first 12 months of employment (and provides less than ten (10) business days notice of such terminationunless the termination was due to your dishonesty, illegal conduct, or (ii) accelerates your requested termination date to a date less than ten (10) business days from your notice breach of voluntary resignationCerner's policies or this Agreement), Cerner will pay you in conjunction with such termination the equivalent of two twelve (212) weeks months of base salary (exclusive of commissions, advances against commissions, bonus and other non-salary compensation and Associate benefits). If your employment is terminated after one (1) year but less any than two (2) years of service (and unless the termination was due to your dishonesty, illegal conduct, or breach of Cerner's policies or this Agreement), you will receive six (6) months of base salary (exclusive of commissions, advances against commissions, bonus and other nonsalary compensation paid to and Associate benefits) as a severance benefit. If you are terminated after two (2) years of service you will receive the standard executive severance benefit for your level in accordance with the time you work from the notice of termination or resignation through your actual termination dateseverance plan in place at that time. In the event your termination occurs during a performance period associated with a documented bonus or incentive compensation plan, any final payments to you as a result of your participation in such plan will be determined by the terms documented procedures of the plan. Pursuant to the terms of Cerner's published policies, as may be amended from time to time, Cerner may pay or reimburse you for certain reasonable costs associated with: (i) with any relocation required by Cerner in conjunction with a position with Cerner pursuant to the terms of Cerner's published relocation policy, or (ii) Other Assistance Programs in which Cerner provides assistanceas may be amended from time to time. In the event that Cerner pays or reimburses you for any relocation costs or costs associated with Other Assistance Programscosts, you agree to repay such sums to Cerner in accordance with the terms of the relocation policy in effect at the time of your move if (i) you voluntarily resign from employment with Cerner for any reason within two (2) years of the reimbursement date your relocation is complete or other payment(ii) Cerner terminates your employment due to your dishonesty, illegal conduct, or breach of Cerner's policies or this Agreement within two (2) years of the date your relocation is complete. You further agree that Cerner may, at its discretion, deduct from your paycheck(s) and any other amounts owed to you by Cerner), including your final paycheck, any such sums required to be repaid under this provision and that you will repay Cerner any outstanding balance owed within thirty (30) 30 days of your employment termination. In the event that Cerner pays or reimburses you for any costs associated with such Other Assistance Programs, you agree to repay such sums to Cerner in accordance with the terms of the applicable Other Assistance Programs policy in effect at the time of you participation in such Other Assistance Program if (i) you voluntarily resign from employment with Cerner for any reason within two (2) years of the date of your participation in the application Program is complete, or (ii) Cerner terminates your employment due to your dishonesty, illegal conduct, or breach of Cerner's policies or this Agreement within two (2) years of the date you participation in the applicable program is complete. You further agree that Cerner may, at its discretion, deduct from your paycheck(s), including your final paycheck, any such sums required to be repaid under this provision and that you will repay Cerner any outstanding balance owed within 30 days of your employment termination. You further agree that Cerner may, at its discretion, deduct from your paycheck(s), including your final paycheck, any such sums required to be repaid under this provision and that you will repay Cerner any outstanding balance owed within 30 days of your employment termination. Regardless of the duration stated herein, nothing contained in this provision shall create employment for a definite term or otherwise modify the parties “at will” relationship set forth in paragraph 2.B. of this Agreement.
