Resignation and Appointment of Successor. (a) The Company agrees, for the benefit of the holders from time to time of the Universal Warrants, that there shall at all times be a Warrant Agent hereunder with respect to each series of Universal Warrants until all the Universal Warrants of such series are no longer outstanding or until monies for the payment of all outstanding Universal Warrants of such series, if any, shall have been paid to the Warrant Agent and shall have been returned to the Company as provided in Section 2.02, whichever occurs earlier.
