Common use of Reserved to Landlord Clause in Contracts

Reserved to Landlord. Landlord reserves the right, from time to time, to change the size and dimensions of Bellevue Place; add additional buildings and improvements to Bellevue Place; relocate, alter, and change the number of buildings and other improvements in, on and under Bellevue Place; change any building dimensions and the number of floors in any of the buildings and parking areas in Bellevue Place; change the identity and type of stores and tenancies in Bellevue Place; change the name and address of the buildings and other improvements in Bellevue Place; and change the Common Areas and Facilities in Bellevue Place. Landlord further reserves the use of, and all rights in and to, the exterior walls and roof, and the right to install, maintain, use, repair and replace pipes, ducts, conduits and wires leading through the Leased Premises in locations which will not materially interfere with Tenant’s use thereof and serving other parts of Bellevue Place. Landlord shall reasonably attempt to locate such items under the floor, above the ceiling, or adjacent to an interior wall. Such use shall not exceed one percent (1%) of the Useable Area of the Leased Premises unless otherwise agreed. If Landlord’s use hereunder exceeds one percent (1%) of the Useable Area of the Leased Premises, Tenant shall be entitled, as its sole and exclusive remedy, to a reduction in the stated Rentable Area for the Leased Premises, as set forth in Section 1.7 above, and a proportional reduction in Rent and Additional Rent (as defined in Sections 5 and 6 below) due hereunder. The Leased Premises shall not include the space above the suspended ceiling. Landlord shall retain the right to use the area immediately below the floor surface and the space above the suspended ceiling in any manner which does not permanently and materially interfere with Tenant’s use of the Leased Premises.

Notwithstanding the foregoing, Landlord shall not make changes to the Building or Project, their name, improvements, or Common Areas and Facilities that materially and adversely interfere with the operation of Tenant's business in Bellevue Placethe Leased Premises pursuant to the Permitted Uses, materially increase Tenant's Other Charges due hereunder, or materially and adversely deny Tenant the principal benefits of this Lease. Landlord further reserves the use of, and all rights in and toof the exterior walls, the exterior walls and roof, and the right to install, maintain, use, repair and replace pipes, ducts, conduits and wires leading through the Leased Premises (including areas of the Leased Premises in which there is an open ceiling) in locations which will not materially interfere with Tenant’s 's use thereof and serving which serve other parts of Bellevue Placethe Building. Landlord shall reasonably attempt use reasonable efforts to locate such items under the floor, above the suspended ceiling, or within an interior wall or other utility raceway or conduit, and otherwise adjacent to an interior wall. Such use shall Notwithstanding the forgoing, Landlord will not exceed one percent unreasonably withhold its consent to Tenant's having an "open ceiling," and not a suspended ceiling, in up to four (1%4) of the Useable Area floors of the Leased Premises unless otherwise agreed. If Landlord’s use hereunder exceeds one percent (1%) including areas of the Useable Area Leased Premises in which the merchandising department and Tenant's Mock Store Use are conducted provided that the use of an open ceiling design will not in the professional and disinterested opinion of the Project Architect impair or endanger any Building systems or otherwise detract from first class character of the Building. Tenant shall give Landlord assurances that are reasonably acceptable to Landlord and Landlord's lenders that Tenant will, at the expiration or earlier termination of the Lease, pay to Landlord an amount sufficient to cover the cost of installing a building standard suspended ceiling of a type appropriate for the Building in any areas of the Leased Premises that do not have such a building standard suspended ceiling at the time the Lease is terminated. Landlord also reserves the right to use the areas below and the spaces above the Building in any manner and for any purpose which does not materially and adversely interfere with Tenant's use of the Leased Premises, Tenant shall be entitled, as its sole and exclusive remedy, to a reduction in the stated Rentable Area for the Leased Premises, as set forth in Section 1.7 above, and a proportional reduction in Rent and Additional Rent (as defined in Sections 5 and 6 below) or materially increase Tenant's Other Charges due hereunder. The Leased Premises shall not include , including without limitation any utility, telecommunication, satellite or other related use permitted under this Lease, or materially and adversely deny Tenant the space above the suspended ceiling. Landlord shall retain the right to use the area immediately below the floor surface and the space above the suspended ceiling in any manner which does not permanently and materially interfere with Tenant’s use principal benefits of the Leased Premisesthis Lease.
