Reserve Capacity. (Company or System shall be that amount in megawatts by which Company or System Capability exceeds Company or System Load Responsibility.

Reserve Capacity. Access to Poles on which Licensee seeks to install an Attachment will be made available to Licensee with the understanding that such access is to Utility's reserve capacity. On giving Licensee at least ninety (90) days’ prior notice, Utility may reclaim such reserve capacity anytime during the five (5) year period following the installation of Licensee’s Attachment if required for Utility’s future electric service use, including the attachment of communications lines for internal Utility operational requirements. Utility will inform Licensee of any plans Utility may have to use such reserve capacity at the time Licensee submits its Permit Application, but this requirement shall not be a prerequisite to Utility’s exercise of its right to reclaim capacity. On giving Licensee notice that it will reclaim reserve capacity, Utility shall give Licensee the option to remove its Attachment(s) from the affected Pole(s) or to pay for the cost of any Make-Ready Work needed to expand the capacity of the affected Pole(s) so that Licensee can maintain its Attachment on the affected Pole(s). The allocation of the cost of any such Make-Ready Work (including the transfer, rearrangement, or relocation of third-party Attachments) shall be determined in accordance with Article IX and shall be shared with any other licensee who also has Attachments on the affected Pole(s) and who is required to share in such costs pursuant to its pole attachment agreement with Utility.

On giving Licensee at least ninety (90) days prior notice, Licensor may reclaim such Reserve Capacity anytime during the life of the Agreement following the installation of Licensee’s Attachment if required for Licensor’s future electric service use, including the attachment of communications lines for internal Licensor operational requirements. Licensor shall give Licensee the option to remove its Attachment(s) from the affected Pole(s) or to request modifications needed to expand capacity so that Licensee can maintain its Attachment on the affected Pole(s) or to transfer its facilities to the nearest Pole. The parties will work together to address the requested modifications. If any Attachments permitted on the Pole in reserved capacity are not removed after ninety (90) days’ notice or such additional time as is reasonably necessary under the circumstances, Licensor may, at its sole option, after providing three (3) business daysadvance notice, remove or relocate said facilities. To the extent feasible, Licensor shall assist Licensee in finding other Licensor poles which may be suitable for Licensee’s attachments
