Common use of Research Analyst Independence Clause in Contracts

Research Analyst Independence. The Company acknowledges that the Underwriters’ research analysts and research departments are required to be independent from its investment banking division and is subject to certain regulations and internal policies, and that Underwriter’s research analysts may hold views and make statements or investment recommendations and/or publish research reports with respect to the Company and/or the offering that differ from the views of their respective investment banking divisions. The Company hereby waives and releases, to the fullest extent permitted by law, any claims that the Company may have against the Underwriters with respect to any conflict of interest that may arise from the fact that the views expressed by its research analysts and research department may be different from or inconsistent with the views or advice communicated to the Company by Underwriters’ investment banking division. The Company acknowledges that each Underwriter is a full service securities firm and as such from time to time, subject to applicable securities laws, may effect transactions for its own account or the account of its customers and hold long or short positions in debt or equity securities of the Company and any other companies that may be the subject of the transactions contemplated by this Agreement.

The Company Partnership acknowledges that the Underwriters’ each Manager’s research analysts and research departments are required to be independent from its investment banking division divisions and is are subject to certain regulations and internal policies, and that Underwritersuch Manager’s research analysts may hold views and make statements or investment recommendations and/or publish research reports with respect to the Company Partnership and/or the offering that differ from the views of their respective its investment banking divisionsdivision. The Company Partnership hereby waives and releases, to the fullest extent permitted by law, any claims that the Company Partnership may have against the Underwriters any Manager with respect to any conflict of interest that may arise from the fact that the views expressed by its independent research analysts and research department departments may be different from or inconsistent with the views or advice communicated to the Company Partnership by Underwriters’ any Manager’s investment banking division. The Company Partnership acknowledges that each Underwriter Manager is a full service securities firm and as such from time to time, subject to applicable securities laws, may effect transactions for its own account or the account of its customers and hold long or short positions in debt or equity securities of the Company and any other companies that which may be the subject of the transactions contemplated by this Agreement.

The Company Partnership hereby waives and releases, to the fullest extent permitted by law, any claims that the Company Partnership may have against the Underwriters Manager with respect to any conflict of interest that may arise from the fact that the views expressed by its independent research analysts and research department departments may be different from or inconsistent with the views or advice communicated to the Company Partnership by Underwriters’ the Manager’s investment banking division. The Company hereby waives and releases, to the fullest extent permitted by applicable law, any claims that the Company may have against the Underwriters Aegis with respect to any conflict of interest that may arise from the fact that the views expressed by its research analysts and research department may be different from or inconsistent with the views or advice communicated to the Company by Underwriters’ Aegis’s investment banking division. The Company acknowledges that each Underwriter Aegis is a full service securities firm and as such from time to time, subject to applicable securities laws, may effect transactions for its own account or the account of its customers and hold long or short positions in debt or equity securities of the Company and any other companies entities that may be the subject of the transactions contemplated by this Agreement.

The Company hereby waives and releases, to the fullest extent permitted by law, any claims that the Company may have against the Underwriters Underwriter with respect to any conflict of interest that may arise from the fact that the views expressed by its their independent research analysts and research department departments may be different from or inconsistent with the views or advice communicated to the Company by Underwriters’ the Underwriter's investment banking divisiondivisions. The Company acknowledges that each the Underwriter is a full service securities firm and as such from time to time, subject to applicable securities laws, may effect transactions for its own account or the account of its customers and hold long or short positions in debt or equity securities of the Company and any other companies that may be the subject of the transactions contemplated by this Agreement.

Research Analyst Independence. The Company acknowledges that the Underwriters’ Underwriter’s research analysts and research departments are required to be independent from its investment banking division and is are subject to certain regulations and internal policies, and that such Underwriter’s research analysts may hold views and make statements or investment recommendations and/or publish research reports with respect to the Company and/or the offering that differ from the views of their respective its investment banking divisionsdivision.
