Common use of Required Authorizations Clause in Contracts

Required Authorizations. There is no requirement for the Seller to make any filing with, give any notice to, or obtain any Authorization of, any Governmental Authority as a result of, or as a condition to the entering into of this Agreement or the lawful completion of, the transactions contemplated by this Agreement, except for any required filings and notifications under applicable securities exchange policies and securities laws.

Required Authorizations. There is no requirement for the Seller or any Group Company to make any filing with, give any notice to, or obtain any Authorization of, any Governmental Authority as a result of, or in connection with, or as a condition to the entering into of this Agreement or the Seller’s lawful completion of, the transactions contemplated by execution, delivery and performance of this AgreementAgreement and the Transaction Documents, except for any required filings the requirement for Competition Act Approval and the filings, notifications under applicable securities exchange policies and securities lawsAuthorizations listed and described in Section 3.5 of the Seller Disclosure Letter.
