Required Announcements. Programmer shall broadcast: (a) an announcement in a form satisfactory to licensee at the beginning of each hour to identify the Stations; (b) an announcement at the beginning and end of each program, and hourly, as appropriate, to indicate that program time has been purchased by Programmer; and (c) any other announcement that may be required by law, regulation, or Stations policy.

The restriction in Clause 29.1 (No Announcement Without Approval) shall not apply to the extent that the announcement or other communication is required by Applicable Law, any stock exchange or any regulatory or supervisory body or authority of competent jurisdiction. If this exception applies, Novartis or Alcon (as applicable) shall, in advance of the announcement or other communication being made by the relevant Party, use its Commercially Reasonable Efforts to consult in good faith with the other Party in advance as to the form, content and timing of such announcement or other communication and to take into account any reasonable comments of the other Party in respect of such announcement or other communication.

Notwithstanding anything in this Agreement to the contrary, each party agrees not to disclose the content of this Agreement unless such party is advised by its external counsel that such disclosure is required by Applicable Requirements; provided that, to the extent practicable, the disclosing party shall (i) notify the other party of such intended disclosure prior thereto and, where applicable, work in good faith to tailor any such disclosure only to that which is required under Applicable Requirements and (ii) redact any such disclosure to the extent constituting confidential or privileged communications with any Governmental Entity or communications subject to attorney-client privilege.
