Requesting the Initial Loan. The Borrower shall give the Administrative Agent written notice of a borrowing hereunder in substantially the form of Exhibit B hereto (a “Notice of Borrowing”) or telephonic notice of the borrowing of the Initial Loan. Such Notice of Borrowing shall be delivered to the Administrative Agent (i) before 12:00 Noon (New York City time) in the case of Eurodollar Rate Loans, on the date three (3) Business Days prior to the Initial Funding Date and (ii) before 1:00 P.M. (New York City time) in the case of Base Rate Loans, on the date one (1) Business Day prior to the Initial Funding Date. Any such telephonic notice shall include all information to be specified in a written Notice of Borrowing and shall be promptly confirmed in writing by the Borrower pursuant to a Notice of Borrowing sent to the Administrative Agent by telecopy on the same day of the giving of such telephonic notice. The Administrative Agent will transmit by telecopy the Notice of Borrowing (or the information contained in such Notice of Borrowing) or the information contained in a telephonic notice of borrowing (if such telephonic notice is received prior to a Notice of Borrowing) to each Lender promptly upon receipt by the Administrative Agent. The Notice of Borrowing or telephonic notice of the borrowing hereunder shall be irrevocable once given and binding on the Borrower.
