Requesting Loans. The Borrower shall give the Agent notice pursuant to the Notice of Borrowing of the borrowing of the Loans no later than 11:00 a.m. (i) in the case of LIBOR Loans, on the date three Business Days prior to the Effective Date and (ii) in the case of Base Rate Loans, on the date one Business Day prior to the Effective Date. Such Notice of Borrowing shall be irrevocable once given and binding on the Borrower.

Requesting Loans. The Borrowers shall give the Agent notice pursuant to a Notice of Borrowing or telephonic notice of each borrowing of Loans. Each Notice of Borrowing shall be delivered to the Agent before 11:00 a.m. (i) in the case of LIBOR Loans, on the date three Business Days prior to the proposed date of such borrowing and (ii) in the case of Base Rate Loans, on the date one Business Day prior to the proposed date of such borrowing. Any such telephonic notice shall include all information to be specified in a written Notice of Borrowing, including an updated Availability Certificate and Compliance Certificate, and shall be promptly confirmed in writing by the Borrowers pursuant to a Notice of Borrowing sent to the Agent by telecopy on the same day of the giving of such telephonic notice. The Agent will transmit by telecopy the Notice of Borrowing (or the information contained in such Notice of Borrowing) to each Lender promptly upon receipt by the Agent. Each Notice of Borrowing or telephonic notice of each borrowing shall be irrevocable once given and binding on the Borrowers.
Requesting Loans. In order to obtain the Loans hereunder (excluding, for the avoidance of doubt, conversions of outstanding Loans which shall be made pursuant to Section 2.8), the Borrower shall give the Administrative Agent irrevocable notice (the “Borrowing Notice”) not later than 11:00 a.m. at least one (1) Business Day before the Closing Date to the extent such Loans will constitute a Floating Rate Advance, and one (1) Business Day before the Closing Date to the extent such Loans will constitute a Eurodollar Advance (provided, that any request for a Eurodollar Advance shall be accompanied by a written agreement to indemnify the Lenders for loss or costs of the type described in Section 3.4 notwithstanding that this Agreement may not yet be effective), specifying:

Requesting Loans. Provided that the applicable Borrowing Base Property is part of the Borrowing Base pursuant to Article V., for each Loan for such particular Borrowing Base Property Sub-Facility, the Borrower shall submit a completed Draw Request to the Agent, setting forth the identification of the Borrowing Base Property, the amount of Loan proceeds desired, the Type of Loan desired, the disbursement instructions, the information required for any Hard Cost Advances or Soft Cost Advances, and the applicable conditions precedent in accordance with Article VI., together with such certification and additional information as the Agent may reasonably require, signed by a duly authorized representative of the Borrower. Such Draw Request shall be submitted not less than five (5) Business Days prior to the date on which the requested Loan is to be made. The Agent will transmit a copy of the Draw Request to each Lender no later than five (5) Business Days after delivering the Notice of Satisfaction of Conditions Precedent. Each Draw Request shall be irrevocable once given and binding on the Borrower.
Requesting Loans. To request a Loan, Borrower shall notify Lender of such request either in writing (delivered by hand, fax or e-mail) by delivering a Borrowing Request signed by Borrower or through Lender’s web portal access for Borrower, if arrangements for doing so have been approved by Lender (or if an Extenuating Circumstance shall exist, by telephone) not later than noon on the date of the proposed advance. Each such Borrowing Request shall be irrevocable and each such telephonic Borrowing Request, if permitted, shall be confirmed immediately upon cessation of the Extenuating Circumstance by hand delivery, facsimile, e-mail or through Lender’s web portal access for Borrower of a written Borrowing Request in a form approved by Lender and signed by Borrower. Each such written (or if permitted, telephonic) Borrowing Request shall specify the following information: (i) the aggregate amount of the requested advance and a breakdown of the separate wires comprising such advance; and (ii) the date of such Loan, which shall be a Business Day.
Requesting Loans. An Authorized Persons may, from time to time, request Nonformula Loans from Lender (in writing if required by Lender).

Such Loan Notice shall be delivered to the Agent before 11:00 a.m. (i) in the case of Term SOFR Rate Loans, on the date three Business Days prior to the proposed date of such borrowing, (ii) in the case of Base Rate Loans, on the Business Day of such borrowing, and (iii) in the case of Daily SOFR Rate Loans, on the date one Business Days prior to the proposed date of such borrowing. The Agent will transmit by telecopy the Loan Notice (or the information contained in such Loan Notice) to each Lender promptly upon receipt by the Agent. Each Loan Notice of each borrowing shall be irrevocable once given and binding on the Borrower.
Requesting Loans. The Company shall give the Disbursing Agent notice pursuant to a Notice of Borrowing or telephonic notice of each borrowing of Loans. Each Notice of Borrowing shall be delivered to the Disbursing Agent before 12:00 noon (a) in the case of LIBOR Loans, on the date two Business Days prior to the proposed date of such borrowing and (b) in the case of Base Rate Loans, on the proposed date of such borrowing. Any such telephonic notice shall include all information to be specified in a written Notice of Borrowing and shall be promptly confirmed in writing by the Company pursuant to a Notice of Borrowing sent to the Disbursing Agent by telecopy on the same day of the giving of such telephonic notice. The Disbursing Agent will transmit by telecopy the Notice of Borrowing (or the information contained in such Notice of Borrowing) to each Lender promptly upon receipt by the Disbursing Agent (but in any event not later than 1:00 p.m. on the date of receipt thereof). Each Notice of Borrowing or telephonic notice of each borrowing shall be irrevocable once given and binding on the applicable Borrower specified therein. (c ) Disbursements of Loan Proceeds. No later than 3:00 p.m. on the date specified in the Notice of Borrowing, each Lender will make available for the account of its applicable Lending Office to the Disbursing Agent at the Principal Office, in immediately available funds, the proceeds of the Loan to be made by such Lender. With respect to Loans to be made after the Effective Date, unless the Disbursing Agent shall have been notified by any Lender prior to the specified date of borrowing that such Lender does not intend to make available to the Disbursing Agent the Loan to be made by such Lender on such date, the Disbursing Agent may assume that such Lender will make the proceeds of such Loan available to the Disbursing Agent on the date of the requested borrowing as set forth in the Notice of Borrowing and the Disbursing Agent may (but shall not be obligated to), in reliance upon such assumption, make available to the applicable Borrower the amount of such Loan to be provided by such Lender. Subject to satisfaction of the applicable conditions set forth in Article 5 for such borrowing, the Disbursing Agent will make the proceeds of such borrowing available to the applicable Borrower no later than 4:00 p.m. on the date and at the account specified by the Company in such Notice of Borrowing.
