Request for Issuance of Letters of Credit. Administrative Borrower shall give Agent at least ten (10) Business Days’ prior written notice requesting the issuance of any Letter of Credit, specifying the date such Letter of Credit is to be issued, identifying the beneficiary of such Letter of Credit, and describing the nature of the transactions proposed to be supported thereby. The notice shall be accompanied by the form of the requested Letter of Credit (which shall be acceptable to the Issuing Lender) and a completed L/C Application. Notwithstanding anything contained herein to the contrary, L/C Applications by Administrative Borrower and approvals by Agent may be made and transmitted pursuant to electronic codes and security measures mutually agreed upon and established by and among Borrowers, Agent and the Issuing Lender and, in the event of a direct conflict between the provisions of an L/C Application and this Agreement, the provisions of this Agreement shall control.
Request for Issuance of Letters of Credit. The Borrower shall give the Agent and the Issuing Lender at least five (5) Business Days' prior written notice of a request for issuance of each Letter of Credit, each such request to be accompanied by an LC Application duly executed by the Borrower and in all respects in form and substance satisfactory to the Agent and the Issuing Lender, together with such other documentation as the Agent or the Issuing Lender may reasonably request in support thereof. The Agent shall promptly notify each Lender of the Borrower's request that such Letter of Credit be issued.
Request for Issuance of Letters of Credit. Subject to the terms and conditions of this Agreement, prior to the Termination Date, any one or more of the Borrowers may request LC Issuer to issue one or more of its Letters of Credit in favor of such beneficiary(ies) as are designated by Borrowers in accordance with this

The Borrower Representative shall give the Administrative Agent at least two (2) Business Days prior written notice requesting the issuance of any Letter of Credit, specifying the date such Letter of Credit is to be issued, identifying the beneficiary and the Borrower to which such Letter of Credit relates and describing the nature of the transactions proposed to be supported thereby. The notice shall be accompanied by the form of the Letter of Credit (which shall be acceptable to the Issuing Lender) to be guarantied and, to the extent not previously delivered to the Administrative Agent, copies of all agreements between the Borrowers and the Issuing Lender pertaining to the issuance of Letters of Credit. Notwithstanding anything contained herein to the contrary, Letter of Credit applications by the Borrower Representative and approvals by the Administrative Agent and the Issuing Lender may be made and transmitted pursuant to electronic codes and security measures mutually agreed upon and established by and among the Borrower Representative, the Administrative Agent and the Issuing Lender.

The Administrative Agent shall receive from the Parent, either Co-Borrower or any Guarantor at least five (5) Business Days' prior written notice of a request for issuance of each Letter of Credit, each such request to be accompanied by an application substantially in the form of Exhibit D (an "LC Application") duly executed by the Parent (for itself or on behalf of any such Co-Borrower or Guarantor) and in all respects in form and substance reasonably satisfactory to the Administrative Agent, together with such other documentation as the Administrative Agent may reasonably request in support thereof. The Administrative Agent shall promptly notify each Lender of any request from the Parent, either Co-Borrower or any such Guarantor that such Letter of Credit be issued.
Request for Issuance of Letters of Credit. From time to time, upon receipt by Bank of a properly completed Application for a Letter of Credit, together with such other documents, instruments and/or agreements as Bank may reasonably require, Bank shall issue a Letter of Credit on such terms as have been requested by Borrower and are consistent with this Agreement and satisfactory to Bank. Notwithstanding the foregoing, Bank shall not be required to issue any Letter of Credit if, before or after giving effect to the issuance of such Letter of Credit (a) the Letter of Credit Liabilities exceed or would exceed the Letter of Credit Facility Amount or (b) an Event of Default or an Unmatured Event of Default exists or would result therefrom.
