Common use of Representative Capacities Clause in Contracts

Representative Capacities. It is understood and agreed that (a) the Senior Representative is entering into this Agreement in its capacity as administrative agent and collateral agent under the Credit Agreement and the provisions of Section 12 of the Credit Agreement applicable to the Agents (as defined therein) thereunder shall also apply to the Senior Representative hereunder and (b) Bank of America, N.A., is entering into this Agreement in its capacity as Administrative Agent and Collateral Agent under the Initial Second Priority Loan Agreement and the provisions of Article 12 of such agreement applicable to the agent thereunder shall also apply to the agent hereunder.

It is understood and agreed that (a) the Senior Representative is entering into this Agreement in its capacity as administrative agent and collateral agent under the Senior Credit Agreement and the provisions of Section 12 Article XI of the Senior Credit Agreement applicable to the Agents Administrative Agent (as defined therein) thereunder shall also apply to the Senior Representative hereunder and (b) Bank of America, N.A., the Second Priority Representative is entering into this Agreement in its capacity as Administrative Agent and Collateral Agent administrative agent under the Initial Second Priority Loan Credit Agreement and the provisions of Article 12 XI of such agreement the Second Priority Credit Agreement applicable to the agent Administrative Agent (as defined therein) thereunder shall also apply to the agent Second Priority Representative hereunder.
