Representations, Warranties and Covenants by the Company and the Vendors respecting the Company. In order to induce the Purchaser to enter into and consummate this Agreement, each of the Vendors and the Company hereby, jointly and severally, also represents to, warrants to and covenants with the Purchaser, with the intent that the Purchaser will also rely thereon in entering into this Agreement and in concluding the transactions contemplated herein, that, to the best of the knowledge, information and belief of each of the Vendors and the Company, after having made due inquiry: Corporate Status of the Company
