Representations Warrantees and Covenants. 12.01. Each party represents, warrants and covenants to the other that it has the fun right and authority to enter into this Agreement, and that it is not aware of any impediment that would inhibit its ability to perform its obligations under this Agreement.

Representations Warrantees and Covenants. As to each credit application submitted or Contract offered to ABT Keystone, and so long as this Agreement remains in effect, Dealer represents, warrants and agrees to the statements set forth in Schedule 1 attached hereto and incorporated herein. The warranties, representations and covenants in this Agreement, as specifically set forth in Schedule 1 herein: (i) are material to the purchase of any Contract which presently has been purchased or which is to be purchased in the future by ABT Keystone, (ii) shall be deemed remade each time ABT Keystone acquires a Contract from Dealer, and (iii) are cumulative. If there is any inconsistency between this Agreement and any Assignment provided hereunder, then this Agreement shall control. Such warranties, representations, agreements and covenants will not be considered waived if ABT Keystone purchases any Contract with knowledge that a warranty, representation or covenant is breached.

The Company shall amend the registration statements under the 1933 Act for the Policies and the registration statements under the 1940 Act for the Accounts from time to time as required in order to effect the continuous offering of the Policies or as may otherwise be required by applicable law. The Company shall register and qualify the Policies for sales in accordance with the securities laws of the various states only if and to the extent deemed necessary by the Company.
