Representations and Warranties True When Made. The representations and warranties of Seller contained herein shall have been true and correct when made, except where the failure of such representations and warranties to be true and correct would not constitute a Material Adverse Change. Purchaser shall have received a certificate to such effect dated the Closing Date and executed by a duly authorized officer of Seller.

Representations and Warranties True When Made. The representations and warranties of the Sellers contained herein shall have been true and correct when made, except where the failure of such representations and warranties to be true and correct would not constitute a Material Adverse Change. Each of Parent and Purchaser shall have received a certificate to such effect dated the Closing Date and executed by a duly authorized officer of each Seller. For purposes of this Section 9.1(a), the representations and warranties of the Sellers shall be read without giving effect to the terms "material", "Material Adverse Change", "Material Adverse Effect" or words with a similar meaning, except for the representations and warranties of the Sellers set forth in Section 3.19.
