REPRESENTATIONS AND WARRANTIES OF THE PLAN INVESTOR. Except (i) as set forth in the disclosure schedule prepared by the Plan Investor (the “Plan Investor Disclosure Schedule”) and delivered to the Company simultaneously with the execution and delivery hereof and (ii) contemplated by Section 10.5 of this Agreement, the Plan Investor represents and warrants to the Company as follows:

Except as specifically set forth in the disclosure schedule prepared and signed by the Plan Investor (the "Plan Investor's Disclosure Schedule") and delivered to the Company simultaneously with the execution and delivery hereof, the Plan Investor hereby represents and warrants to the Company that all of the statements contained in this Article V are true and correct as of the date of this Agreement (or, if made as of a specified date, as of such date) and shall be true and correct as of the Closing Date (or, if made as of a specified date, as of such date).
