Representations and Warranties of the Partnership; Officer's Certificate. The representations and warranties of the Partnership contained herein shall be true and correct in all material respects as of the date of the Closing as though made on and as of the date of the Closing, and the Partnership shall have furnished each of Hydrocarbon and the General Partner with a certificate, dated as of the date of the Closing and signed on its behalf by a duly authorized officer, to the effect that its respective representations and warranties are true and correct in all material respects as of the date of the Closing.
