REPRESENTATIONS AND WARRANTIES OF THE MANAGEMENT SHAREHOLDERS AND THE COMPANY. Each of the Management Shareholders and the Company jointly and severally represent and warrant to the Purchaser and Acquisition and agree as follows:
REPRESENTATIONS AND WARRANTIES OF THE MANAGEMENT SHAREHOLDERS AND THE COMPANY. Except as disclosed in a document referring specifically to the representations and warranties in this Agreement which reasonably identifies an exception to a representation and warranty in this Agreement and which is delivered by the Management Shareholders and the Company to FORE prior to the execution of this Agreement (the "Company Disclosure Schedule"), the Management Shareholders, jointly and severally, and the Company represent and warrant to FORE and Merger Sub as set forth below. Any disclosure included in the Company Disclosure Schedule with respect to a particular representation and warranty shall be deemed to be a disclosure with respect to all of the representations and warranties of the Management Shareholders and/or the Company to which it applies. The terms "knowledge," "best knowledge" or similar terms, when applied to the Company, mean the actual knowledge of each Management Shareholder or director of the Company and the knowledge that could reasonably be expected to be obtained by each such person in the course of conducting due investigation concerning the subject matter.
