REPRESENTATIONS AND WARRANTIES OF THE COMPANY AND THE SELLING SECURITYHOLDERS REGARDING THE COMPANY. Each of the Company and the Selling Securityholders, jointly and severally, represents and warrants to the Buyer that, except as set forth in the Disclosure Schedule, the statements contained in this ARTICLE III are true and correct as of the date of this Agreement and will be true and correct as of the Closing as though made as of the Closing, except to the extent such representations and warranties are specifically made as of a particular date (in which case such representations and warranties will be true and correct as of such date). For purposes of this ARTICLE III, the phrase "TO THE KNOWLEDGE OF THE COMPANY OR THE SELLING SECURITYHOLDERS" or "OF WHICH THE COMPANY IS AWARE" or any variation of any of the foregoing or phrase of similar import shall be deemed to refer to the actual knowledge of (i) any directors or executive officers of any Acquired Company or (ii) one or more Selling Securityholders of a particular fact, circumstance, event or other matter.

The ESOP Stockholder, severally and not jointly, represents and warrants to the Buyer and each of the Company and the Other Selling Securityholders, jointly and severally, represents and warrants to the Buyer that, except as set forth in the Disclosure Schedule, the statements contained in this Article III are true and correct as of the date of this Agreement, except to the extent such representations and warranties are specifically made as of a particular date (in which case such representations and warranties will be true and correct as of such date). For purposes of this Article III, the phrase “to the knowledge of the Company and the Selling Securityholders” or “of which the Company is aware” or any variation of any of the foregoing or phrase of similar import shall be deemed to refer to the actual knowledge of one or more of the Selling Securityholders of a particular fact, circumstance, event or other matter.
