REPRESENTATIONS AND WARRANTIES OF SUBCONTRACTOR. 5.1 SUBCONTRACTOR represents and warrants that: The execution and performance of this Agreement will not result in any violation of any federal, state or local statute, ordinance or regulation; SUBCONTRACTOR has all governmental licenses and permits necessary to conduct the business and all such licenses and permits are in full force and effect; SUBCONTRACTOR shall not store, release, generate, dispose of or use upon the property any hazardous materials, waste or substances as defined by any federal, state or local law regulation governing the release, use storage, generation or disposal of hazardous materials without prior permission of CONTRACTOR and any government authority; SUBCONTRACTOR expressly warrants, represents and guarantees that it will complete its Services for each Property in a workmanlike manner and unconditionally guarantees and warrants its work; SUBCONTRACTOR expressly warrants, represents and guarantees that it will complete Services for each Property in accordance with industry standards, applicable governmental laws, building codes and in accordance with CONTRACTOR's plans, drawings, requirements and specifications; SUBCONTRACTOR shall reimburse CONTRACTOR for all damage to any Property as a result of negligence or intentional wrongdoing on behalf of the SUBCONTRACTOR, its agents or its employees; SUBCONTRACTOR shall not vary from CONTRACTOR's plans, drawings and specifications without written approval from CONTRACTOR; and All change orders shall be in writing and subject to the terms and conditions stated herein.

REPRESENTATIONS AND WARRANTIES OF SUBCONTRACTOR a. Personnel are the employees of Subcontractor; Personnel are not and shall not be deemed to be, employees of OSI. Subcontractor shall be solely responsible to pay, when due, salaries, wages and other forms of compensation or reimbursement and all applicable federal, state and local withholding taxes and unemployment taxes, as well as social security, state disability insurance and all other payroll charges payable to, or on behalf of, Personnel providing services hereunder. Subcontractor shall indemnify and hold OSI and its affiliates harmless from and against, and in respect of, any and all Losses (as defined below) arising out of claims from Personnel. On or before commencement of services under any Work Schedule, Subcontractor shall deliver to OSI documentation executed by all Personnel named in each Work Schedule acknowledging the terms of and agreeing to be bound in all respects by this Agreement.
