REPRESENTATIONS AND WARRANTIES OF SERVICER AND SELLER. Each of the Seller and the Servicer (in its capacity as Servicer and Operator) hereby represents and warrants to the Owner Trustee, for the benefit of the Owner Trustee and the Investor Certificateholders, that (i) each of the representations and warranties of the Seller and the Servicer contained in Sections 3.1 and 3.2 of the Sale and Servicing Agreement are true and correct as of the date hereof and (ii) after giving effect to the closing of the transactions contemplated by the Basic Documents, the Consolidated Net Worth of HGSC will be at least equal to the Initial Required Net Worth.
