Representations and Warranties of Parent to be True. Except as contemplated by this Agreement, (i) the representations and warranties of Parent hereunder shall be made again at the Closing and shall be true in all material respects as of the Closing Date except to the extent such representations and warranties speak as of an earlier date, (ii) Parent shall have performed (or caused to have been performed) in all respects all covenants required of it (and its subsidiaries) by this Agreement as of the Closing and (iii) Parent shall have furnished the Purchaser at the Closing with a certificate of the President of Parent to such effect.
