Representations and Warranties of Hydrocarbon and the General Partner; Officer's Certificate. The representations and warranties of each of Hydrocarbon and the General Partner contained herein shall be true and correct in all material respects as of the date of the Closing as though made on and as of the date of the Closing, and each of Hydrocarbon and the General Partner shall have furnished the Partnership with a certificate to that effect, dated as of the date of the Closing and signed on its behalf by a duly authorized officer, to the effect that its respective representations and warranties are true and correct in all material respects as of the date of the Closing.
