Representations and Warranties of Entity Seller. (a) Additional Seller hereby represents and warrants that it has full power and authority to enter into this Amendment, and the execution and delivery by it of this Amendment and the performance of its obligations under the Purchase Agreement have been duly and validly approved by all necessary entity action. Additional Seller shall deliver to Purchaser concurrently herewith a certificate from its secretary, manager, general partner, or other similar officer certifying to the resolutions of Additional Seller’s board of directors, managers, general partner, or similar governing body authorizing the execution and delivery of this Amendment.
