REPRESENTATIONS AND WARRANTIES OF CONTRIBUTING PARTIES. To induce BNP and the REIT to enter into this Agreement and the transactions contemplated hereby, unless otherwise indicated, each of the Contributing Parties jointly and severally represents and warrants that the statements contained in Article V are true, correct and complete on the date hereof and will be true, correct and complete on the Closing Date. It is the express intention and agreement of each of the Contributing Parties that the representations and warranties set forth in Article V shall survive the consummation of the transactions contemplated in this Agreement, but only to the extent expressly provided in Article X hereof.

REPRESENTATIONS AND WARRANTIES OF CONTRIBUTING PARTIES. Each of Xxxxxx, HPHC, each Fund Limited Partner and each Niobrara Investor (each, a “Contributing Party”) hereby severally and not jointly represents and warrants (as to itself and not as to the other Contributing Parties) to Holdco as follows:

REPRESENTATIONS AND WARRANTIES OF CONTRIBUTING PARTIES. Relating to the Corporation and its Subsidiaries Except as (i) disclosed in the Current Viskase Financial Documents (other than any disclosures set forth in any risk factor section or in any section relating to forward-looking statements, and any other disclosures included therein to the extent they are forward-looking in nature, whether or not appearing in such sections), provided that no disclosure in the Current Viskase Financial Documents shall be deemed to qualify the representations or warranties of the Contributing Parties that are contained in Section 5.7(b), and (ii) set forth on the Corporation disclosure schedule delivered by the Contributing Parties to IEP concurrently with the execution and delivery of this Agreement (the “Corporation Disclosure Schedule”), the Contributing Parties hereby make the following representations and warranties contained in this Article V to IEP. The Corporation Disclosure Schedule is arranged and numbered to correspond to the numbered and lettered paragraphs contained in this Article V. Unless otherwise specified herein, disclosure made in any particular Section of the Corporation Disclosure Schedule shall be deemed made in any other Section or Sections of the Corporation Disclosure Schedule to which the relevance of such disclosure is readily apparent on its face from the text of such disclosure.

REPRESENTATIONS AND WARRANTIES OF CONTRIBUTING PARTIES. Except as set forth in the applicable Disclosure Schedule, each Contributing Party, severally and not jointly, represents and warrants to the Company and the other Contributing Party with respect to itself and its Target Group that the statements contained in this Article 3 are true and correct as of the date hereof and as of the Closing Date except for such representations and warranties as are made only as of a specific date, which shall only be made as of such date.

REPRESENTATIONS AND WARRANTIES OF CONTRIBUTOR The Contributor represents and warrants to and covenants with the Operating Partnership as provided in EXHIBIT E attached hereto, and acknowledges and agrees to be bound by the indemnification provisions contained therein.

REPRESENTATIONS AND WARRANTIES OF THE CONTRIBUTOR The Contributor represents and warrants to the Operating Partnership as set forth below in this ARTICLE 2. Notwithstanding any other provision of the Contribution Agreement or this EXHIBIT E, the Contributor makes representations, warranties and indemnities only with respect to: (i) the Properties identified on EXHIBIT A to the Contribution Agreement (the "Property" or the "Properties"), and (ii) the interests in the Partnerships to be transferred by the Contributor.
