REPRESENTATIONS AND WARRANTIES; COVENANTS OF THE PARTIES. Each Party represents and warrants to the other Party that (a) such Party is duly organized, validly existing and in good standing under the laws of the state of its formation and has all requisite power and authority to enter into this Agreement, to perform its obligations hereunder and to consummate the transactions contemplated hereby; (b) the execution and delivery of this Agreement and the performance of such Party’s obligations hereunder have been duly authorized by all necessary company action; (c) this Agreement is a legal, valid and binding obligation of such Party enforceable against such Party in accordance with its terms, subject to the qualification, however, that the enforcement of the rights and remedies herein is subject to (i) bankruptcy and other similar laws of general application affecting rights and remedies of creditors and (ii) the application of general principles of equity (regardless of whether considered in a proceeding in equity or at law); (d) to such Party’s knowledge, no governmental approval (other than any governmental approvals which have been previously obtained or disclosed in writing to the other Party) is required in connection with the due authorization, execution and delivery of this Agreement by such Party or the performance by such Party of its obligations hereunder which such Party has reason to believe that it will be unable to obtain in due course; and (e) neither the execution and delivery of this Agreement by such Party nor compliance by such Party with any of the terms and provisions of this Agreement conflicts with, breaches or contravenes the provisions of such Party’s organizational documents, the California Public Utilities Code or the California Public Contract Code as applies to such Party. Landlord represents and warrants to Lessee that there are no circumstances known to Landlord and commitments to third parties that may damage, impair or otherwise adversely affect the Generating Facility or its function (including activities that may adversely affect the Generating Facility’s exposure to sunlight). Landlord covenants that Landlord has lawful title to the Property and the Premises and full right to enter into this Agreement and that, subject to Lessee’s compliance with all material provisions contained in this Agreement, Lessee shall have quiet and peaceful possession of the Premises throughout the term of this Agreement.
